Abstrak :
Penelitian ini membahas mengenai mekanisme pengambilan keputusan mata acara rapat ‘dan lain-lain’. Landasan hukum mekanisme pengambilan keputusan mata acara rapat ‘dan lain-lain’ diatur dalam Pasal 75 ayat (3) jo ayat (4) UU Perseroan Terbatas. Tujuan dari penambahan mata acara rapat adalah membahas usulan lain (baru) yang tidak ada dalam mata acara yang tertera dalam panggilan rapat dengan syarat seluruh pemegang saham atau kuasanya hadir dalam rapat dan menyetujui keputusan perihal mata acara ‘dan lain-lain’ dengan suara bulat. Adapun permasalahan yang diangkat dalam penelitian ini adalah mengenai mekanisme pengambilan keputusan mata acara rapat ‘dan lain-lain’ yang dilakukan dalam RUPS Tahunan PT ISU tanpa kehadiran salah satu pemegang sahamnya dan akibat hukum terhadap akta autentik dan tanggung jawab Notaris dalam membuat akta autentik RUPS Tahunan PT ISU. Untuk menjawab permasalahan tersebut digunakan metode penelitian yuridis normatif. Pengumpulan data dilakukan untuk memperoleh data sekunder melalui studi dokumen. Adapun tipologi penelitian ini adalah eksplanatoris dan data diolah dengan metode kualitatif agar menghasilkan analisis yang tajam. Pengambilan keputusan mata acara rapat ‘dan lain-lain’ dalam RUPS Tahunan PT ISU tidak dihadiri oleh Penggugat sebagai pemegang saham yang mengakibatkan keputusan menjadi tidak sah dan akta autentik batal demi hukum. Notaris YCW dapat dijatuhi sanksi teguran tertulis oleh Majelis Pengawas Notaris karena bertindak tidak cermat, professional, dan proporsional dalam membuat akta autentik. Para pihak dan Notaris harus membaca ketentuan Undang-Undang Perseroan Terbatas dengan cermat apabila ingin melakukan pengambilan keputusan ‘dan lain-lain’. Notaris harus memeriksa daftar hadir pemegang saham dan notulen rapat dengan cermat agar akta autentik tidak batal demi hukum. Notaris YCW dapat dikenakan sanksi tertulis oleh Majelis Pengawas Notaris. ......This thesis aimed to review decision-making process of the other matters of the meeting agenda. The legal basis of the process of decision-making of meeting agenda the other matters is regulated on Article 74 paragraph (3) jo paragraph (4) of Limited Liability Company Law. The purpose of meeting agenda the other matters is to discuss other (new) proposals that are not existed in the register of agenda in the requirements on the condition that all shareholders or proxies are present at the meeting and all of them approve decisions regarding additional agenda unanimously. The problems raised in this thesis are regarding the decision-making of meeting agenda the other matters on general meeting of shareholders of PT ISU and the legal consequences of the validity of the authentic deed and the responsibility of the Notary. To answer these problems using normative juridical research method. Data collection is done to obtain secondary data through document study. The data was processed by qualitative methods in order to produce a sharp analysis. The process of decision-making of meeting agenda the other matters must be attended or represented by all shareholders and the decision must be approved unanimously. Making an authentic deed must meet the formal requirements and material requirements as well as the provisions of the applicable laws and regulations. The process of decision-making of meeting agenda the other matters that does not meet the requirements results in the decision being invalid and the authentic deed null and void. YCW can be warn by Notary Supervisory Board because he did carelessly, unprofessional, and unproportional. The parties and the Notary must read the Limited Liability Law carefully if they want to make meeting agenda the other matters. The notary must examine the list of presence of the general meeting of shareholders and the minutes of the meeting carefully so that the deed is not null and void.
