ABSTRAK
Anggaran dasar suatu badan hukum baik yang berbentuk perseroan maupun perseroan terbuka merupakan hal yang fundamental. Tesis ini membahas suatu bentuk pengaturan pokok-pokok anggaran dasar yang wajib untuk dimuat dalam anggaran dasar suatu perseroan terbuka. Pembahasan disini terutama mengenai sifat pengaturan dan penerapan sanksi atas pelanggaran kewajiban penyesuaian anggaran dasar. Pasar modal memiliki peran penting dalam perekonomian Indonesia, sehingga pelaksaanan ketentuan yang dimuat dalam berbagai peraturan perundang-undangan harus dijalankan secara tepat dan diawasi secara tegas. Beralihnya fungsi Bapepam- Lk kepada OJK seharusnya dapat memberi perubahan yang terintegrasi menuju kea rah yang lebih baik, pembahasan dalam tesis ini diharapkan dapat memberikan kontribusi terdapat hal tersebut.
ABSTRACT
The articles of association of a legal entity in the form of either the company or the public company is fundamental. This thesis describes a form of regulation of key points to the articles of association which shall be published in a publicly held articles of association of public company. The discussion here is mainly on regulating attributes and application of sanction for the violations of obligations to adjust the articles of association. Capital markets have an important role in the Indonesian economy, thus imple provisions contained in various legislations must be executed appropriately and monitored strictly. Shift function from Bapepam-LK to the OJK should be given to the integrated change toward the better, the discussion in this thesis are expected to contribute to that.

Media relation merupakan salah satu praktik yang terdapat dalam sistem dari Departemen Public Relations (PR) dan bertujuan supaya informasi dari suatu organisasi dapat disebarluaskan kepada publik melalui saluran suatu industri media. Ternyata terdapat departemen PR dari suatu industri media melakukan praktik media relations dengan industri media lain meskipun telah memiliki saluran media untuk menyebarkan informasi. Dalam praktik media relations yang terdapat dalam sistem Departemen PR, para anggota departemen PR sebagai para agen berhubungan dengan para agen lain dari redaksi industri media lain berdasarkan struktur yang terus-menerus diproduksi dan direproduksi. Struktur diproduksi dan direproduksi melalui interaksi dan tindakan para agen, baik dalam lingkungan internal dan lingkungan eksternal departemen. Ketika para agen berinteraksi, mereka juga melakukan tindakan komunikasi. Struktur dan sistem dalam praktik media relations yang terus diproduksi dan direproduksi dapat berlangsung secara dinamis (transformasi) dan stabil (rutinitas). Untuk mengetahui bagaimana proses produksi dan reproduksi tersebut dalam interaksi para agen, maka diperlukan analisis menggunakan teori strukturasi yang dikembangkan oleh McPhee dan Poole. Penelitian ini bertujuan untuk menggambarkan dan memberikan pemahaman mengenai strukturasi komunikasi internal dan komunikasi eksternal dalam praktik media relations yang terjadi di dalam departemen PR. Metode yang digunakan dalam penelitian ini adalah studi kasus instrumental tunggal dengan pendekatan kualitatif deskriptif. Dari penelitian ini ditemukan bahwa di dalam sistem departemen PR, staf berhubungan dengan atasannya di lingkungan internal dan berhubungan dengan jurnalis dan atasan jurnalis di lingkungan eksternal. Dalam melakukan praktik media relations, para agen menggunakan struktur aturan berupa prosedur, kebijakan, job description, dan kode etik sebagai pedoman dan sumber daya berupa pengalaman, pengetahuan, dan kemampuan/skill dalam bertindak dan berinteraksi sehingga sistem dan praktik dapat berlangsung terus-menerus baik secara dinamis maupun statis.
ABSTRACT Media relation is one of the practices that are found in the system of Public Relations (PR) department and it aims to spread information from an organization to its public through channel of a media industry. Apparently, a PR department of a media industry implements the media relations practice with other media industries, although it has already had its own channel to spread the information. In the practice of media relations in the PR department system, members of the PR department as agents are in contact with the other agents from the newsrooms of other media industries and it is done based on the structure that is continuously produced and reproduced. The structure is produced and reproduced through interactions and actions of the agents, both in the internal environment and external environment of the department. When the agents interact, they also do the actions of the communication. The structure and the system in the practice of media relations that are continuously produced and reproduction can happen dynamically (transformation) and stable (routines). To know how the process of production and reproduction in the interaction of the agents, then required an analysis using structuration theory developed by McPhee and Poole. This research aims to describe and provide understanding of structuration of internal communication and external communication in the practice of media relations that occur in the department of PR. The method used in this research is instrumental case studies with single descriptive qualitative approach. From this study, it is found that in the PR department system, the staff is connected with his superiors in the internal environment and connected with the journalist and superiors journalists in the external environment. Dalam skripsi ini akan dibahas mengenai Perjanjian Antara Bank Swasta dan Bank Pembangunan Daerah Tentang Kredit Sindikasi. Permasalahan dalam skripsi ini membahas mengenai Pengaturan Perjanjian Kredit Sindikasi Antara Bank Swasta dan Bank Pembangunan Daerah, dan juga akibat hukum apabila dalam suatu perjanjian kredit sindikasi antara Bank Swasta dan Bank Pembangunan Daerah melanggar Batas Maksimum Pemberian Kredit. Metode penelitian yang digunakan adalah penelitian yuridis-normatif yang dimana pengumpulan data diperoleh dari studi kepustakaan dan juga melalui wawancara dengan dua orang narasumber. Hasil dari penelitian ini adalah ditemukannya bahwa pengaturan Perjanjian Kredit Sindikasi Antara Bank Swasta dan Bank Pembangunan Daerah tidak ada pengaturan khusus atau sama dengan Perjanjian Kredit Sindikasi pada umumnya, yaitu mengacu pada hukum perjanjian/kontrak pada KUHPerdata dan beberapa Undang-Undang lainnya seperti UU Perbankan, PBI No. 7/3/PBI/2005 sebagaimana telah diubah dengan PBI No. 8/13/PBI/2006 tentang Batas Maksimum Pemberian Kredit, Peraturan Bank Indonesia Nomor 14/ 15/PBI/2012 Tentang Penilaian Kualitas Aset Bank Umum, dan Peraturan Otoritas Jasa Keuangan No. 42/POJK.03/2017 tentang Kewajiban Penyusunan dan Pelaksanaan Kebijakan Perkreditan atau Pembiayaan Bank bagi Bank Umum. Kemudian ditemukan adanya pengecualian untuk pelanggaran batas maksimum pemberian kredit. ......In this thesis will be discussed about the Agreement Between Private Banks and Regional Development Banks About Syndicated Loan. The problem in this thesis is to discuss the Arrangement of Syndicated Loan Agreements between Private Banks and Regional Development Banks and also the legal consequences if in a syndicated loan agreement between Private Banks and  Regional Development Banks violates the Legal Lending Limit. The research method used is juridical-normative research in which data collection is obtained from library studies and also through interviews with sources. The results of this study are found that the arrangement of the Syndicated Loan Agreement between Private Banks and Regional Development Banks has no specific arrangement or the same as the Syndicated Loan Agreement in general where only refer to the contract / contract law on Civil Code and several other laws such as the Banking Act, PBI No. 7/3/PBI/2005 as amended by PBI No. 8/13/PBI/2006 concerning the Legal Lending Limit, Bank Indonesia Regulation Number 14/15/PBI/2012 concerning the Evaluation of Quality of Commercial Bank Assets, and Financial Services Authority Regulation No. 42/POJK.03/2017 concerning Obligations for Preparation and Implementation of Credit Policy or Bank Financing for Commercial Banks.. Then there were exceptions for violating the legal lending limit.

Jabodetabek merupakan kawasan metropolitan area terbesar di Indonesia dengan penduduk 28 juta orang atau setara dengan 11 7 dari penduduk nasional Selama dua dekade terakhir Jabodetabek mengalami kecepatan pertumbuhan penduduk yang lebih tinggi di daerah sub urban dibanding pada daerah urban atau biasa dikenal dengan suburbanisasi Keberadaan suburbanisasi tersebut dipengaruhi oleh salah satunya keberadaan infrastruktur transportasi Penelitian ini bertujuan untuk mengidentifikasi keberadaan suburbanisasi penduduk di kawasan Jabodetabek serta kaitannya dengan keberadaan infrastruktur transportasi dalam hal ini jalan bebas hambatan dan kereta rel listrik dengan melihat perubahan kepadatan penduduk pada setiap desa dan kelurahan Dengan memanfaatkan data sensus penduduk tahun 2000 2010 penelitian ini mengestimasi keberadaan suburbanisasi melalui regresi ordinary least squares OLS Penelitian ini menemukan bahwa dalam kurun waktu 2000 2010 Jabodetabek mengalami suburbanisasi dan infrastruktur transportasi secara signifikan mempengaruhi perubahan kepadatan penduduk yang terjadi Untuk daerah sub urban keberadaan jalan bebas hambatan serta stasiun kereta rel listrik memiliki korelasi negatif dengan kepadatan penduduk Pada daerah urban jalan bebas hambatan juga berkorelasi negatif sementara keberadaan stasiun kereta api menghasilkan korelasi yang positif terhadap kepadatan penduduk.
As the largest metropolitan area in Indonesia the Jakarta Metropolitan Area Jabodetabek consists of 28 million of people which represents 11 7 of the national population During last two decades the Jabodetabek perhaps has experienced with more rapid population growth in sub urban areas relative to the Jakarta core area or suburbanization partly because of vast development of transport infrastructure Hence this paper aims to verify the presence of population suburbanization in the Jabodetabek and examines the dynamics of suburbanization by calculating the impact of access to highways and railway stations on changes in population density in the Jabodetabek We measure the access to transport infrastructures as the shortest distance of respective villages to nearest highways network and rail stations We use the data from Indonesia population census 1980 to 2010 at village level to sharpen the analysis We rely on ordinary least squares OLS regression to determine the results Our expected results are First it is confirmed that access to highways and rail stations have a significant role in shaping urban form Results show that the closer distance to highways and rail stations is the stronger its impact on changes in sub urban population density at village level in the Jabodetabek Although in urban areas distance to highways had a negative impact meanwhile distance to rail stations had a positive correlationKey words.

Skripsi ini membahas mengenai analisis dampak penerapan manajemen risiko terhadap prinsip Good Corporate Governance di perusahaan perasuransian yang dilakukan dengan studi kasus pada perusahaan PT. XYZ. Penelitian ini bertujuan untuk melihat penerapan manajemen risiko perusahaan dan kesesuaiannya dengan POJK No.1/POJK.05/2015 serta perbandingannya dengan sebelum adanya peraturan tersebut. Hasil dari penerapan manajemen risiko yang dilakukan oleh PT. XYZ dilihat kaitannya terhadap prinsip Good Corporate Governance untuk melihat bagaimana penerapan manajemen risiko yang efektif berimplikasi terhadap pelaksanaan Good Corporate Governance. Berdasarkan hasil penelitian, penerapan manajemen risiko yang dilakukan oleh PT. XYZ sebagai perusahaan perasuransian sudah melakukan penerapan manajemen risiko yang efektif dengan baik sesuai dengan ketentuan POJK No.1/POJK.05/2015 dengan adanya peningkatan sebesar 4,76 . Namun ada beberapa hal yang belum sesuai dan perlunya penyesuaian dari ketentuan prinsip penerapan manajemen risiko yaitu struktur organisasi dan sistem informasi manajemen risiko.
ABSTRACT
This Paper discusses about the analysis of the effect of risk management implementation on the Good Corporate Governance principles in insurance company, which in this case study is conducted at PT. XYZ. The purposes of this study are to observe the risk management implementation in the company and its compliance with POJK No.1 POJK.05 2015 and also its comparison before the regulation was released. Then, the effect of risk management implementation in PT. XYZ will be interpreted through the lens of Good Corporate Governance principles, in order to see the implication that an effective risk management implementation can have on the Good Corporate Governance principles. Based on author rsquo s results, risk management implementation in PT. XYZ as an insurance company has done well in its compliance to POJK No.1 POJK.05 2015 evidenced by the 4,76 increase of implementation. However, there are still incomplete in implementation and adjustment is also needed in order to improve the compliance to the POJK such as organizational structure and risk management information system.

Fase pertumbuhan padi adalah tahapan pertumbuhan yang dialami oleh tanaman padi dari awal ditanam ke dalam tanah hingga siap dipanen yang dapat dipengaruhi oleh keadaan iklim wilayah tanaman padi tersebut ditanam. Citra Sentinel-1 Synthetic Aperture Radar dapat digunakan untuk mengamati fase tumbuh padi pada Band C. Fase pertumbuhan padi diklasifikasikan menjadi lima kelas, menggunakan metode maximum likelihood dan berdasarkan informasi yang diperoleh dari survei kerangka sampel area BPPT, yaitu persiapan lahan, fase vegetatif awal, fase vegetatif akhir, fase generatif, dan fase panen. Tujuan penelitian ini adalah untuk melihat pola spasial dan temporal fase tumbuh padi di Karawang berdasarkan hasil analisa citra Sentinel-1. Hasil penelitian ini menunjukkan bahwa laju pertumbuhan padi tidak mengikuti pola irigasi dimana wilayah irigasi utara lebih cepat mencapai kondisi panen dibandingkan wilayah irigasi selatan dan tengah. Wilayah irigasi utara memiliki nilai backscatter yang paling rendah. Padi lebih cepat mencapai kondisi panen pada musim kemarau dibandingkan musim hujan dimana nilai backscatter untuk kedua musim ini sama.
Rice phenology is mainly defined as the growing stages that occurs within a rice plant that begins when the rice is planted in the ground and ends when the rice is ready for harvesting. Sentinel 1 Synthetic Aperture Radar images at the C Band are capable of monitoring rice phenology. Rice phenology is divided into 5 classes using maximum likelihood classification according to BPPT area sampling survey which are land preparation, early vegetative, late vegetative, generative, and ripening. The goal of this research is to assess spatial and temporal patterns of rice phenology in Karawang according to Sentinel image analysis. Results of this study show that rice which grows quickly is distributed in northern irrigation areas that receive water last compared to middle and southern irrigation areas in Karawang Regency. Rice that reaches harvesting in northern irrigation areas have the lowest backscatter values. Rice reaches harvesting stage quicker in dry season compared to rainy season with the same backscatter values.

Penelitian ini bertujuan untuk menganalisis pengaruh family ownership terhadap kinerja perusahaan (variabel dependen ROA dan Tobin's Q) dengan mempertimbangkan keberadaan dari family management dan family control. Penelitian ini menggunakan sampel perusahaan-perusahaan keluarga yang bergerak pada bidang non keuangan dan terdaftar pada Bursa Efek Indonesia periode 2005-2010. Metode analisis yang digunakan adalah General Least Square (GLS) dengan Random Effect Model. Hasil penelitian ini membuktikan bahwa terdapat pengaruh positif dan signifikan dari family ownership terhadap kinerja perusahaan di Indonesia. Pengaruh positif tersebut tidak signifikan ketika anggota keluarga pendiri perusahaan menjabat pada top management (CEO) perusahaan (family management). Selanjutnya juga ditemukan bahwa pengaruh positif dari family ownership terhadap kinerja perusahaan signifikan ketika anggota keluarga pendiri perusahaan menjabat pada posisi kontrol (Dewan Direksi) perusahaan (family control).
This study aims to analyze the effect of family ownership on firm performance (proxied by ROA and Tobin's Q) by considering the influence of family management and family control. Using data of listed non-financial family firms in Bursa Efek Indonesia for the period 2005-2010. The analytical method used is GLS (General Least Square) Random Effect Model. This study found that family ownership has a positive and significant effect on firm performance. However, The positive effect becomes not significant when founding family members serves as CEO family management). Furthermore this study also found that the positive effect of family ownership on firm performance becomes significant when founding family members involve in board directors (family control).

Skripsi ini membahas tentang bagaimana persepsi pelanggan pada pemulihan layanan (service recovery) yang dilakukan pada penyedia layanan jasa kesehatan SBU Garuda Sentra Medika. Penelitian ini menggunakan dimensi pemulihan layanan seperti interactional justice, procedural justice, dan distributive justice yang diimplementasikan oleh SBU Garuda Sentra Medika. Penelitian ini menggunakan analisis deskriptif kuantitatif. Data yang dikumpulkan melalui penyebaran kuesioner kepada 50 orang responden dengan kriteria pelanggan SBU Garuda Sentra Medika yang pernah merasakan kegagalan jasa dan pemulihan layanan di SBU Garuda Sentra Medika. Hasil dari penelitian ini menyarankan bahwa pihak penyedia layanan harus memperbaiki prosedur penanganan keluhan pelanggan yang berpihak kepada pelanggan (customer oriented), memudahkan pelanggan, membuat pelanggan lebih fleksibel dalam mengajukan suatu keluhan pelanggan, serta waktu penyelesaian keluhan yang disajikan kepada pelanggan ditangani dengan cepat dan jelas jangka waktunya, interaksi tidak hanya sekedar ramah dan sopan kepada pelanggan tetapi harus juga memiliki empati yang tinggi terhadap pelanggan, sehingga pelangganpun merasa nyaman, dan pada akhirnya hasil penanganan keluhan pun dipersepsikan oleh pelanggan dengan baik dan menciptakan kepuasan pelanggan. ......This thesis discusses how the perception of customers on service recovery are made to the service provider's services health SBU Garuda Sentra Medika. This research uses the dimensions of the recovery services such as interactional justice, procedural justice, and distributive justice is implemented by SBU Garuda Sentra Medika. This research using quantitative descriptive analysis. Searching data through the dissemination of the questionnaire to respondents with 50 customer criteria SBU Garuda Sentra Medika ever sense the failure and restoration of services in service SBU Garuda Sentra Medika. The results of this research suggest that the service provider must improve the procedures of handling customer complaints in favour to the customer (customer oriented), makes it easy for customers, making customers more flexible in asking a customer complaints, as well as the time resolution of the complaint presented to the customer are handled quickly and obviously, interaction duration not just friendly and courteous to customers but must also have high empathy towards the customer, so that pelangganpun feel comfortable, and in the end result of any complaint handling are perceived by customers and create customer satisfaction.
