Penanaman modal asing wajib dilaksanakan dalam bentuk usaha perseroan terbatas tetapi dibatasi oleh peraturan perundang-undangan melalui daftar negatif investasi. Perkembangan organisasi perusahaan terus terjadi di mana kepemilikan suatu perseroan tidak lagi hanya dapat dilihat dari pemegang saham yang tercatat pada daftar pemegang saham perseroan. Perkembangan tersebut berpengaruh pada pembatasan penanaman modal yang saat ini hanya berdasarkan kepemilikan modal yang secara hukum tercatat pada daftar pemegang saham perseroan. Pokok permasalahan dalam tulisan ini adalah dasar pemeriksaan modal asing berdasarkan kepemilikan modal beserta implikasinya dan urgensi pemanfaatan informasi pemilik manfaat dalam kaitannya terhadap batasan daftar negatif investasi. Metode penelitian yang digunakan adalah yuridis normatif menghasilkan deskriptif analitis. Dasar pemeriksaan penanaman modal hanya berdasarkan besaran penanaman modal asing maupun dalam negeri yang direncanakan dan disesuaikan dengan bidang usaha terbuka menurut daftar negatif investasi. Dengan adanya peraturan pemilik manfaat maka informasi pemilik manfaat dapat mencegah praktik nominee arrangement dalam penanaman modal.

ABSTRACT
Foreign Direct Investment is obligied to be carried out in the form of limited liability company (perseroan terbatas) but rectricted by the regulation through negative list. The corporate organization keeps developing which the ownership of a company is no longer only considered by the shareholders that registered in the company's list of shareholders. This development affects the restriction of investment which currently still considered by the shareholding that registered in list of shareholders. Problems in this writing consist of foreign direct investment basic examination and its implication and urgency of beneficial owner information utilization regarding the restriction of negative list. Foreign direct investment basic examination is only considered by the amount of domestic and foreign investment that planned and due to the open field of business according to the negative list. By the issuance of beneficial ownership regulation, the information of beneficial owner could avoid the practice of nominee arrangement in investment.

ABSTRACT
This paper addresses one of the lasting issues in regional development: how regions manage to develop new industries while others fail to do so. It focuses on regional knowledge that is arguably reflected by industry structures. Using inter industry relatedness measure as a tool to analyze the evolution of industries at the province level, this study finds that industries that are close to a province portfolio have a higher probability to emerge and thrive in that province, whereas industries that are less related to its provinces portfolio tend to decline and exit. Therefore, regional industrial policies should focus on potential industries that are rather close to the provinces portfolio.
