"ABSTRAK
Penelitian ini bertujuan melihat pengaruh koneksi politik jajaran direksi dan komisaris terhadap performa bank di Indonesia dalam kurun waktu 2007 ndash; 2017. Penelitian ini menggunakan data dari seluruh bank di Indonesia dengan melihat beberapa variabel dependen serta independen, seperti koneksi politik direksi dan komisaris, karakteristik direksi dan komisaris, serta karakteristik finansial bank tersebut. Penelitian dijalani dengan menggunakan dua variabel dependen dalam melihat performa bank, yaitu ROA dan Z-score. Kedua hasil penelitian menunjukkan bahwa koneksi positif menghasilkan performa yang baik dalam sebuah bank.

ABSTRACT
This research aims to see the connection between political connection of the board of directors and board of commissioners and bank performance in Indonesia from 2007 to 2017. Data used are from all banks in Indonesia with several dependent and independent variables, such as, board of directors and commissioners rsquo political connection, and characteristics, and also each bank rsquo s financial characteristics. We used two dependent variables to see the performance of all banks, which are, ROA and Z score. Both of the results showed that political connection of the board of directors and commissioners leads to a good performance in each banks. "

"Skripsi ini meneliti pengaruh dari karakteristik dewan direksi dan dewan komisaris terhadap kinerja keuangan bank di Indonesia. Karakteristik dewan direksi dan dewan komisaris menggunakan ukuran, anggota dewan yang berasal dari negara asing, anggota berusia lanjut, dan frekuensi rapat. Kinerja bank diukur menggunakan enam variabel yaitu ROA Return on Asset, ROE Return on Equity, Pre-provision Profitability Ratio, Rasio NPL Non-performing Loan, Stock of NPLs, dan NCOR Net Charge-off Ratio. Hasil penelitian menunjukkan bahwa karakteristik ukuran dewan dan anggota dewan berusia lanjut berpengaruh terhadap ROA, ROE, dan NCOR. Anggota dewan yang berasal dari negara asing berpengaruh terhadap keseluruhan variabel kinerja keuangan. Sementara, karakteristik frekuensi rapat dewan direksi dan dewan komisaris tidak memiliki pengaruh signifikan terhadap kinerja keuangan bank

The focus of this research is to investigate the influence of characteristic of the board of director and board of commisioner on bank performance in Indonesia. The characteristics include board size, foreign director and commisioner, old director and commisioner, and meeting frequency. Bank performance is measured using six variables which are ROA, ROE, Pre provision Profitability Ratio, NPL Ratio, and Stock of NPLs. This research finds that board size and old director and commisioner have significant impact on ROA, ROE, and NCOR. Foreign directors and commisioner have a significant impact on all bank performance measures. Meanwhile, board rsquo s meeting frequency do not have a sigificant impact on bank performance."

"Penelitian ini bertujuan untuk mengembangkan tipologi tata kelola perusahaan keluarga, yang terdiri dari dimensi keterlibatan keluarga, latar belakang direksi, dan board capital. Secara spesifik, pengembangan tipologi dilakukan dengan pengujian terhadap: pengaruh jenis keterlibatan keluarga terhadap kinerja perusahaan, pengaruh latar belakang direksi bukan anggota keluarga terhadap pengaruh jenis keterlibatan keluarga terhadap kinerja perusahaan keluarga, dan pengaruh board capital terhadap pengaruh latar belakang direksi bukan anggota keluarga terhadap pengaruh jenis keterlibatan keluarga terhadap kinerja perusahaan keluarga. Penelitian ini mengambil sampel perusahaan keluarga non keuangan yang terdaftar di bursa efek Indonesia pada tahun 2016 dan menggunakan data-data perusahan tersebut selama 5 tahun kebelakang, yaitu untuk periode 2012-2016 Karena tidak semua perusahaan yang terdaftar di tahun 2016 merupakan perusahaan yang IPO sebelum tahun 2012, maka data pada penelitian ini merupakan unbalanced data panel yang diolah dengan metode OLS. Untuk mengatasi permasalahan endogenitas, penelitian ini menggunakan Generalized Method of Moments (GMM) Penelitian ini menemukan beberapa kombinasi tata kelola perusahaan keluarga yang dapat meningkatkan kinerja perusahaan yaitu: kombinasi multiple founder (keterlibatan beberapa orang pendiri) – direksi karir – board capital depth, kombinasi descendant (penerus) – direksi karir - board capital depth, dan kombinasi founder descendant (keterlibatan pendiri dan penerus) – direksi karir – board capital depth. Penelitian ini juga menemukan beberapa kombinasi lain yang hanya berpengaruh terhadap kinerja pasar atau kinerja akuntansi, kombinasi yang tidak berpengaruh terhadap kinerja perusahaan, dan satu kombinasi yang dapat berpengaruh negatif terhadap kinerja perusahaan, yaitu: multiple founder (keterlibatan beberapa orang pendiri) – direksi non karir – board capital depth. Temuan lain dari penelitian ini adalah keberadaan direksi bukan anggota keluarga yang berlatar belakang kari berpengaruh positih terhadap pengaruh keterlibatan keluarga, apapun jenis keterlibatannya.

This study aimed to develop a typology of family business corporate governance, which consists of the dimensions of family involvement, directors' background, and board capital. Specifically, typology was developed by examining: the effect of the type of family involvement on company performance, the effect of the background of directors who are not family members on the effect of the type of family involvement on the performance of family companies, and the effect of board capital on the effect of the background of directors who are not family members on the effect of type family involvement on the performance of family firms. This study took a sample of non-financial family companies listed on the Indonesia Stock Exchange in 2016 and used company data for the past 5 years, namely for the 2012-2016 period. Because not all companies listed in 2016 were companies that had IPOs before 2012, the data in this study is unbalanced panel data processed using the OLS method. To overcome endogeneity problems, this study uses the Generalized Method of Moments (GMM). This study found several combinations of family business corporate governance that can improve company performance, namely: a combination of multiple founders (involvement of several founders) - career directors - board capital depth, combination of descendant (successor) - career directors - board capital depth, and combination of descendant founders (founder and successor involvement) – career director – board capital depth. This study also found several other combinations that only affect either market performance or accounting performance, combinations that do not affect company performance, and one combination that can negatively affect company performance, namely: multiple founders (involvement of several founders) – non-career directors – board capital depth. Another finding from this study was that the presence of directors who are not family members with a career background has a positive effect on the influence of family involvement, regardless of the type of involvement."

"Several studies have already mentioned the importance of diversity on the board of directors to the company's performance. However, the findings remain weak because many studies show significant results, but also an abundance of studies indicates non-significant results. This study examines the influence of nationality diversity on the bank's performance in the COVID-19 financial crisis. Using data from 50 banks in Southeast Asia as the samples, this study conducts the time frame before and during the COVID-19 financial crisis. It is because the COVID-19 financial crisis affects countries worldwide. Thus, the board members' effectiveness is needed in this time of crisis to manage the firm's performance. Furthermore, the firm's performance indicators used in this thesis are the return on assets and non-performing loans. Results showed that the relationships between nationality diversity in the board of directors and both ROA and NPL are not significant. This research contributes to making sense of previous studies' unclear findings and gives implications for policymakers for future decisions, especially when dealing with a similar financial crisis.

Beberapa penelitian telah membuktikan seberapa pentingnya keberagaman dalam jajaran direksi untuk performa perusahaan. Namun, hasil temuan itu relatif lemah meskipun banyak penelitian yang menunjukkan hasil positif dan signifikan. Hal itu disebabkan oleh tidak sedikit pula penelitian yang menunjukkan hasil yang tidak signifikan. Skripsi ini menguji pengaruh keberagaman kewarganegaraan di jajaran direksi terhadap performa bank di saat krisis finansial COVID-19. Dengan menggunakan 50 bank di Asia Tenggara sebagai sampel, penelitian ini meneliti performa bank dalam kurun waktu sebelum dan saat terjadinya krisis finansial COVID-19. Jangka waktu ini dipakai karena seluruh dunia mengalami krisis finansial yang disebabkan oleh COVID-19, tak terkecuali Asia Tenggara. Oleh karena itu, keefektifan jajaran direksi sangat dibutuhkan saat krisis seperti ini untuk mengendalikan performa perusahaan. Selanjutnya, indikator performa perusahaan yang digunakan dalam penelitian ini adalah return on assets (ROA) dan non-performing loan (NPL). Hasil dari penelitian ini adalah hubungan antara keberagaman kewarganegaraan dalam jajaran direksi dengan ROA dan NPL ditemukan tidak signifikan. Skripsi ini berkontribusi untuk memperjelas hasil penelitian sebelumnya yang masih tidak jelas dan memberikan implikasi untuk pembuat kebijakan sebagai masukan untuk keputusan-keputusan yang akan datang, terutama saat berada di situasi krisis yang serupa."

"ABSTRAK
Penelitian ini membahas pengaruh keberadaan wanita dan dewan independen dalam dewan
direksi dan komisaris terhadap kinerja perusahaan yang ditemukan di Indonesia. Sampel
yang digunakan berjumlah total 805 perusahaan yang terdaftar di Bursa Efek Indonesia pada
periode 2013 hingga 2017. Dalam penelitian ini digunakan variabel independen meliputi
persentase dewan direksi wanita, persentase dewan komisaris wanita, persentase dewan
direksi independen, persentase dewan komisaris independen. Penelitian juga menggunakan
variable dummy, diantaranya keberadaan direksi utama wanita, keberadaan komisaris utama
wanita, dan keberadaan dewan direksi dan komisaris wanita dalam satu perusahaan.
Sedangkan variabel control yang digunakan antara lain persentase saham institusional,
persentase saham internal, nilai ROA, leverage, total asset, jumlah anggota dewan, persentase
saham asing. Variabel tersebut akan diregresikan pada variabel dependen, yaitu Tobins Q.
Data yang diregresi akan diuji menggunakan analisis deskriptif, uji asumsi klasik, dan uji
koefisien determinasi. Hasil yang diperoleh memungkinkan adanya pengaruh yang
dihasilkan oleh persentase komisaris perempuan, ersentase dewan komisaris independen, dan
pengaruh keberadaan direktur utama dan komisaris utama wanita dalam satu perusahaan
terhadap peningkatan kinerja perusahaan

ABSTRACT
This study discusses the influence of the presence of women and independent councils on the
board of directors and commissioners on the performance of companies found in Indonesia.
The sample used amounted to a total of 805 companies listed on the Indonesia Stock
Exchange in the period 2013 to 2017. The independent variables included the percentage of
female board of directors, percentage of female board of commissioners, percentage of
independent board of directors, percentage of independent board of commissioners. The
research also uses dummy variables, including the presence of the main female directors, the
presence of the main female commissioners, and the presence of main female board of
directors and commissioners in one company. While the control variables used include
percentage of institutional shares, percentage of internal shares, value of ROA, leverage,
total assets, number of board members, percentage of foreign shares. The variable will be
regressed on the dependent variable, namely Tobins Q. The regression data will be tested
using descriptive analysis, classic assumption test, and test coefficient of determination. The
results obtained allow for the influence generated by the percentage of female
commissioners, the percentage of independent commissioners, and the influence of the
presence of female directors and commissioners in one company on improving company performance..

"Penelitian ini bertujuan untuk mengetahui dampak dari keberadaan anggota dewan komisaris dan dewan direksi berkewarganegaraan asing yang memiliki dampak terhadap tata kelola dan performa perusahaan. Penelitian ini menggunakan data panel sebanyak 4.282 observasi selama periode 2007 - 2017. Penelitian ini menemukan bahwa keberadaan anggota dewan komisaris dan dewan direksi berkewarganegaraan asing memiliki dampak positif signifikan terhadap performa perusahaan, yang diukur menggunakan rasio return on asset dan return on equity. Namun, keberadaan anggota dewan komisaris dan dewan direksi yang memiliki kewarganegaraan dari negara-negara Asia justru memiliki dampak negatif signifikan terhadap performa perusahaan, dimana pada penelitian ini perusahaan-perusahaan yang memiliki anggota dewan komisaris dan direksi asia kebanyakan berasal dari negara-negara berkembang di Asia. Hasil penemuan penelitian ini menyimpulkan bahwa secara keseluruhan keberadaan dari anggota dewan komisaris dan dewan direksi berkewarganegaraan asing dampak membawa perbedaan ke perusahaan yang pada akhirnya mempengaruhi performa perusahaan.

This paper examines the presence of foreign nationality board members contributing in some ways to firm governance and performance. We use the panel data of 4,282 firm observations over the period of 2007 2017 to measure this research goal. This study finds that the presence of foreign board has a significant positive impact to firm performance measured by return on asset and return on equity ratios. On the other hand, the presence of Asian nationality board member is found to have negative significant influence to firm performance, and this is found on firms having Asian Board members originating mostly from developing countries. Overall findings of this reasearch, show that the presence of foreign board member can bring differences to the firm and impacting its performance."

"Penelitian ini mengidentifikasi pengaruh proporsi direktur wanita dalam jajaran direksi terhadap performa keuangan perusahaan dalam sektor industri dan sektor keuangan di Indonesia pada 2017 hingga 2021. Performa keuangaan perusahaan diukur melalui ROA dan Price-to-Book Value (PtBV). Sampel penelitian ini adalah 43 perusahaan sektor industri dan 102 perusahaan sektor keuangan yang terdaftar di Bursa Efek Indonesia (BEI). Data penelitian diolah menggunakan regresi data panel dengan metode estimasi Fixed Effect Model dan Random Effect Model. Hasil penelitian ini menemukan bahwa proporsi direktur wanita dalam jajaran direksi tidak berpengaruh pada performa keuangan perusahaan jika tidak ada pengaruh dari variabel lain. Proporsi direktur wanita dalam jajaran direksi terbukti berpengaruh terhadap ROA perusahaan apabila terdapat leverage dalam keuangan perusahaan. Pengujian terhadap intensitas pembelanjaan modal dan leverage dalam keuangan perusahaan menunjukkan bahwa kedua variabel tersebut berpengaruh terhadap ROA perusahaan.

This study identifies the effect of the proportion of female directors on the board of directors on the financial performance of companies in the industrial and financial sectors in Indonesia in the range of years from 2017 to 2021. The company's financial performance is measured through Return on Assets (ROA) and Price-to-Book Value (PtBV). The sample of this research are 43 companies in the industrial sector and 102 companies in the financial sector which are listed on the Indonesia Stock Exchange (IDX). The research data was processed using panel data regression with the Fixed Effect Model and Random Effect Model estimation methods. This study found that the proportion of female directors on the board of directors is not related to the financial performance of companies in Indonesia if there is no influence from other variables. The proportion of female directors in the board of directors is proven to have an effect on the Return on Assets (ROA) of companies in Indonesia if there is influence from leverage in the company's finances. Tests on the control variables, namely the intensity of capital expenditure and leverage in corporate finance, show that these two variables affect the company's Return on Assets (ROA)."

"Tesis ini disusun guna menganalisis dampak dari keberadaan koneksi politik pada perusahaan terhadap aktivitas pengungkapan anti-korupsi melalui penyampaian laporan aktivitas anti-korupsi di Indonesia, dengan pemanfaatan variabel pemoderasi gender wanita di jajaran direksi selama periode tahun 2015-2017 pada perusahaan-perusahaan non-finansial yang tercatat di Bursa Efek Indonesia. Penelitian ini diharapkan dapat memberikan kontribusi bagi penyusunan teori mengenai dampak dari keberadaan koneksi politik yang dimiliki oleh suatu perusahaan dengan pengungkapan anti-korupsi, serta pengaruh dari gender wanita pada komposisi jajaran direksi di Perusahaan terhadap tingkat pengungkapan anti-korupsi. Metode penelitian yang digunakan adalah analisa terhadap data-data laporan keuangan beserta disclosure-nya dari setiap perusahaan non-finansial yang tercatat di Bursa Efek Indonesia, pengumpulan data-data profil pemangku kepentingan di Perusahaan yang terdiri dari status jabatan dan profil koneksi politik yang dimiliki oleh para pemangku kepentingan. Pada penelitian ini juga dilakukan identifikasi data-data terkait dengan jajaran direksi perusahaan yang terdiri dari data status jabatan dan status gender dari para anggota direksi perusahaan. Atas data-data laporan perusahaan dan disclosure-nya tersebut dilakukan penyusunan indeks anti-korupsi perusahaan yang terdiri dari 7 kategori indeks dengan total 43 sub-kategori indeks pengungkapan anti-korupsi, untuk digunakan dalam analisis regresi dan estimasi korelasi hubungan dengan tujuan untuk mengetahui dampak dari keberadaan koneksi politik yang dimiliki perusahaan terhadap pengungkapan anti-korupsi, serta pengaruh dari keberadaan gender wanita di jajaran direksi terhadap hubungan tersebut. Hasil penelitian ini menunjukkan bahwa keberadaan koneksi politik yang dimiliki oleh CEO berdampak negatif terhadap pengungkapan anti-korupsi pada perusahaan non-finansial di Indonesia selama periode tahun 2015-2017. Pada hasil penelitian ini juga ditemukan bahwa meskipun keberadaan gender wanita pada jajaran direksi perusahaan tidak secara langsung berdampak pada pengungkapan anti-korupsi, namun apabila keberadaan gender wanita ditempatkan dalam posisi sebagai pemberi pengaruh bagi keberadaan koneksi politik di perusahaan, maka CFO dengan gender wanita di perusahaan mampu yang memperlemah dampak dari keberadaan koneksi politik terhadap penyampaian laporan aktivitas anti-korupsi di perusahaan.

This thesis analyzed the impact from political connections existence to anti-corruption disclosure activities through the submission of anti-corruption reports from non-financial companies which were listed on the Indonesia Stock Exchange during the 2015-207 period, by considering also female gender in board as moderating variable in the study. The research was expected to give contribution to the theory developments related to the impact from political connections existence to anti-corruption disclosure activities, as well as the influence of female gender on board on the level of anti-corruption disclosure. Study methodology used were data analysis of financial statement (include its discosure statements) from all the non-financial companies listed on the Indonesia Stock Exchange, data collection of shareholders, independent commissioners, and CEO regarding to their positions status and their political connection profiles. Another study methodology used were identification of board of director data which consisted of boards position status and boards gender status. With regards to data analysis of financial statements (include its discosure statements), a company anti-corruption index was developed, which consists of 7 categories and a total of 43 anti-corruption sub-categories index. The index were used in regression analysis and correlation estimation to find the impact from political connections existence to anti-corruption disclosure activities, as well as the influence of female gender on board on the impact from political connections existence to anti-corruption index. The results of this study indicate that the existence of political connections owned by the CEO has a negative impact on the disclosure of anti-corruption in non-financial companies in Indonesia during the period 2015-2017. This study also found that the presence of female gender in the board did not directly affect the disclosure of anti-corruption. However, should the presence of female gender was placed as an influencer for the political connections existence in the company, the study could found that the CFO with female gender were able to diminished the impact from the existence of political connections to anti-corruption disclosure in the company."

"Tata kelola perusahaan telah menjadi salah satu topik utama yang dibicarakan oleh banyak peneliti sejak dimulainya krisis ekonomi global pada tahun 2008. Perbankan memiliki peran penting dalam perekonomian suatu negara, sehingga diperlukan tata kelola perusahaan yang baik. Penelitian ini mengacu pada penelitian sebelumnya oleh de Andres dan Valellado (2008) yang juga menguji pengaruh dewan direksi terhadap kinerja perbankan. Penelitian ini menganalisis pengaruh dewan direksi yaitu ukuran dewan direksi, pihak luar, dan rapat setiap tahun terhadap kinerja perusahaan perbankan yang diukur dengan proksi return on asset, return pasar pemegang saham, dan toin's q. Penelitian ini menggunakan data sekunder yang diambil dari laporan tahunan 20 bank yang terdaftar di BEI periode 2011-2017. Analisis statistik deskriptif dan regresi data panel menggunakan model fixed effect digunakan peneliti sebagai metode analisis dalam penelitian ini. Hasil penelitian ini menunjukkan bahwa board size dan outsiders tidak berpengaruh signifikan terhadap variabel kinerja bank yaitu ROA, SMR, dan Q, sedangkan pertemuan tiap tahun berpengaruh signifikan terhadap kinerja bank yaitu terhadap ROA.

Corporate governance has become one of the main topics discussed by many researchers since the onset of the global economic crisis in 2008. Banking has an important role in a country's economy, so good corporate governance is needed. This study refers to previous research by de Andres and Valellado (2008) which also examined the effect of the board of directors on banking performance. This study analyzes the effect of the board of directors, namely the size of the board of directors, outsiders, and annual meetings on the performance of banking companies as measured by proxies of return on assets, shareholder market returns, and toin's q. This study uses secondary data taken from the annual reports of 20 banks listed on the IDX for the 2011-2017 period. Descriptive statistical analysis and panel data regression using the fixed effect model were used by researchers as a method of analysis in this study. The results of this study indicate that board size and outsiders do not have a significant effect on bank performance variables, namely ROA, SMR, and Q, while the annual meeting has a significant effect on bank performance, namely on ROA."

Penelitian ini meneliti pengaruh dari karakteristik Dewan Komisaris dan komite audit terhadap performa bank. Karakteristik Dewan Komisaris dan komite audit diukur dengan menggunakan ukuran, independensi, frekuensi rapat, dan kompetensi dari Dewan Komisaris dan komite audit. Performa bank diukur dengan menggunakan tiga variabel yaitu (Return on Asset) ROA, (Net Interest Margin) NIM, dan (Non-performing Loans) NPL. Hasil penelitian menunjukkan bahwa kompetensi komite audit, ukuran Dewan Komisaris, Kompetensi Komisaris Independen di bidang perbankan mempengaruhi performa bank secara positif dan kompetensi di bidang akuntansi/keuangan secara secara negatif. Karakteristik lain dari komite audit dan Dewan Komisaris tidak memiliki pengaruh yang signifikan terhadap performa bank.

The research found that audit committee competence, size of BOC, independent BOC competence in banking have a positive significant relationship and independent BOC competence in accounting/finance have a negative significant relationship with bank performance. The research found that audit committee competence, size of BOC, independent BOC competence in banking have a positive significant relationship and independent BOC competence in accounting/finance have a negative significant relationship with bank performance. Meanwhile, other characteristics do not have a significant impact on bank performance., The purpose of this research is to investigate the influence of the characteristics of audit committee and board of commissioner (BOC) on bank performance. The characteristics include size, independence, meetings frequency, and competence of audit committee and BOC. This research used three variable to measure bank performance which are ROA, NIM, and NPL. The research found that audit committee competence, size of BOC, independent BOC competence in banking have a positive significant relationship and independent BOC competence in accounting/finance have a negative significant relationship with bank performance.
