"Tata kelola perusahaan telah menjadi salah satu topik utama yang dibicarakan oleh banyak peneliti sejak dimulainya krisis ekonomi global pada tahun 2008. Perbankan memiliki peran penting dalam perekonomian suatu negara, sehingga diperlukan tata kelola perusahaan yang baik. Penelitian ini mengacu pada penelitian sebelumnya oleh de Andres dan Valellado (2008) yang juga menguji pengaruh dewan direksi terhadap kinerja perbankan. Penelitian ini menganalisis pengaruh dewan direksi yaitu ukuran dewan direksi, pihak luar, dan rapat setiap tahun terhadap kinerja perusahaan perbankan yang diukur dengan proksi return on asset, return pasar pemegang saham, dan toin's q. Penelitian ini menggunakan data sekunder yang diambil dari laporan tahunan 20 bank yang terdaftar di BEI periode 2011-2017. Analisis statistik deskriptif dan regresi data panel menggunakan model fixed effect digunakan peneliti sebagai metode analisis dalam penelitian ini. Hasil penelitian ini menunjukkan bahwa board size dan outsiders tidak berpengaruh signifikan terhadap variabel kinerja bank yaitu ROA, SMR, dan Q, sedangkan pertemuan tiap tahun berpengaruh signifikan terhadap kinerja bank yaitu terhadap ROA.

Corporate governance has become one of the main topics discussed by many researchers since the onset of the global economic crisis in 2008. Banking has an important role in a country's economy, so good corporate governance is needed. This study refers to previous research by de Andres and Valellado (2008) which also examined the effect of the board of directors on banking performance. This study analyzes the effect of the board of directors, namely the size of the board of directors, outsiders, and annual meetings on the performance of banking companies as measured by proxies of return on assets, shareholder market returns, and toin's q. This study uses secondary data taken from the annual reports of 20 banks listed on the IDX for the 2011-2017 period. Descriptive statistical analysis and panel data regression using the fixed effect model were used by researchers as a method of analysis in this study. The results of this study indicate that board size and outsiders do not have a significant effect on bank performance variables, namely ROA, SMR, and Q, while the annual meeting has a significant effect on bank performance, namely on ROA."

"Penelitian ini bertujuan untuk memahami pengaruh anggota dewan direksi dengan latar belakang pendidikan science, technology, engineering, and mathematics (STEM, selanjutnya akan disebut sebagai direksi STEM) terhadap aktivitas inovasi korporasi pada perusahaan dalam industri teknologi di Indonesia dan Malaysia. Penelitian menggunakan sampel 38 perusahaan industri teknologi yang terdaftar dalam bursa saham Indonesia (IDX) dan bursa saham Malaysia (KLSE) selama periode 2013 – 2022 dalam basis waktu tahunan menggunakan teknik regresi data panel. Hasil temuan menunjukkan bahwa direksi STEM tidak ditemukan memiliki pengaruh yang signifikan terhadap aktivitas inovasi korporasi pada perusahaan dalam industri teknologi di Indonesia dan Malaysia.

This study aims to understand the effect of directors with educational backgrounds in the field of science, technology, engineering, and mathematics (STEM, hereinafter will be called STEM directors) on corporate innovation activities in Indonesian and Malaysian technology companies. This study uses a sample of 38 technology companies listed on the Indonesian Stock Exchange (IDX) and the Kuala Lumpur Stock Exchange (KLSE) during the period of 2013 – 2022 on annual basis using data panel regression. Findings showed that STEM directors did not indicate having a significant effect on innovation activities in technology companies in Indonesia and Malaysia."

"ABSTRAK
Keberagaman anggota dewan merupakan salah satu isu yang terkait dengan corporate governance. Board diversity akan mempengaruhi implementasi corporate governance yang nantinya akan memmpengaruhi kinerja perusahaan. dalam penelitian ini, board diversity diukur dengan 4 variabel, yaitu keberadaan dewan direksi wanita, keberadaan dewan direksi berkewarganegaraan asing, latar belakang pendidikan, dan masa menjabat anggota dewan direksi. Sampel penelitian ini adalah 80 perusahaan manufaktur yang terdaftar di BEI tahun 2011. Hasil penelitian menunjukkan board diversity tidak berpengaruh terhadap kinerja perusahaan.

ABSTRACT
Board diversity is one of the issue related to corporate governance. Board diversity shall influence board of director composition. In this research, board diversity is measured by 4 variables, i.e, woman in board, foreign in board, educational background, and tenure. Firm performance is measured by price to book value ratio. The research samples are taken from 80 manufacturing companies listed at IDX in 2011. This research shows that board of director diversity are not influencing the firm performance."

"ABSTRAK
Penelitian ini dilakukan untuk mengetahui pengaruh dari diversitas gender pada jajaran direksi dan dewan komisaris terhadap kualitas pengungkapan corporate social responsibility. Diversitas gender pada direksi & komisaris diharapkan mampu meningkatkan kualitas pengungkapan yang dibuat oleh perusahaan yang menjadi salah satu tolak ukur dalam menilai kinerja sosial dan lingkungan perusahaan. Penelitian ini mengambil 100 sampel perusahaan publik sektor manufaktur dari tiga negara di ASEAN yaitu Malaysia, Indonesia, dan Singapura. Metode pengukuran kualitas pengungkapan CSR yang digunakan adalah skor readability dan banyak kata dalam pengungkapan CSR. Hasil yang ditemukan dalam penelitian ini menunjukkan bahwa tidak ada pengaruh signifkan antara diversitas gender dalam direksi dan komisaris terhadap kualitas pengungkapan CSR perusahaan

ABSTRACT
This study aims to investigate the impact of gender diversity in board of director and comissioner on CSR disclosure quality of the manufacturing listed company in ASEAN. Gender Diversity is expected to increase the quality of the CSR disclosure of the firm. CSR disclosure quality is one of the indicator of company social and environmental performance. This study takes 100 listed company in manufacturing sector from Malaysia, Indonesia, and Singapore. In measuring CSR, this study uses readability score and the length of CSR disclosure. This study finds that gender diversity on board of directors and comissioner does not give a significant impact toward CSR disclosure quality."

"Penelitian ini bertujuan untuk mengetahui pengaruh dari karakteristik diversitas pada Direksi, Dewan Komisaris, dan Komite Audit terhadap biaya agensi perusahaan. Penelitian ini juga mencari tahu apakah kepemilikan keluarga dapat mempengaruhi pengaruh karakteristik boards terhadap biaya agensi. Karakteristik boards yang diamati pada penelitian ini terbagi menjadi gender, usia, tenur, dan latar belakang pendidikan dari Direksi, Dewan Komsiaris, dan Komite Audit. Penelitian ini menggunakan sampel perusahaan yang terdaftar di BEI tahun 2011 hingga 2013. Berdasarkan kriteria yang ditetapkan, jumlah sampel yang digunakan adalah sebanyak 200 perusahaan. Biaya agensi pada penelitian ini diproksikan melalui asset turnover ratio dan Selling, General, and Administrative (SGA) expense ratio.
Hasil dari penelitian ini ditemukan bahwa kehadiran Direksi wanita, usia Dewan Komisaris dan Komite Audit, masa jabatan Dewan Komisaris, dan tingkat pendidikan Dewan Komisaris dan Komite Audit berpengaruh positif terhadap agency cost, sedangkan masa jabatan Direksi berpengaruh negatif terhadap agency cost. Kemudian, besarnya kepemilikan keluarga juga terbukti berpengaruh pada hubungan beberapa karakteristik terhadap agency cost perusahaan, yaitu karakteristik gender pada Direksi dan Dewan Komisaris, usia Dewan Komisaris dan Komite Audit, dan tingkat pendidikan Komite Audit.

This study examines how diversity characteristics on boards affect agency cost, and also examines whether family ownership responds those relationships. Boards characteristics used in this study are gender, age, tenure, and level of education. Since the study uses companies in Indonesia, term of boards is divided into three subjects, they are Board of Director (BoD), Board of Commissioner (BoC), and Audit Committee (AC). This study uses asset turnover ratio and Selling, General, and Administrative (SGA) expense ratio as the proxy for agency cost. Based on criteria on determining the sample from companies listed on Indonesia Stock Exchange (IDX) in 2011, 2012, and 2013, this study has 200 companies as the observation.
The results suggest that proportion of women in BoD, BoC and AC's age, BoC's tenure, and BoC and AC's level of education have positive impact on agency cost, whereas BoD's tenure is negatively related to agency cost. This research also finds that family ownership has impacts on the relationship between some board diversity and agency cost. The board diversities affected by the family ownership refer to gender of Bod and BoC, age of BoC and AC, and level education of AC.
