"Modal ventura merupakan salah satu bentuk pembiayaan, yang terutama ditujukan bagi usaha mikro, kecil, dan menengah. Di Indonesia, modal ventura dijalankan oleh perusahaan modal ventura, yang termasuk dalam lembaga keuangan. Salah satu perusahaan modal ventura yang terdapat di Indonesia adalah PT Bahana Artha Ventura. Skripsi ini membahas mengenai modal ventura secara umum dan penerapannya pada PT Bahana Artha Ventura, serta menganalisis salah satu perjanjian modal ventura yaitu Perjanjian Pembiayaan dengan Pola Bagi Hasil antara PT Bahana Artha Ventura dan PT X sebagai perusahaan pasangan usahanya, dengan menggunakan metode penelitian yuridis-normatif.

Venture capital is one of the form of financing, particularly targeted for the micro, small, and medium enterprises. In Indonesia, venture capital is conducted by venture capital companies, which are categorized as financial institutions. One of the venture capital companies in Indonesia is PT Bahana Artha Ventura. This thesis examines venture capital in general and its practice in PT Bahana Artha Ventura. This thesis also analyzes a venture capital contract in the form of Revenue Sharing Financing Agreement between PT Bahana Artha Ventura and PT X as its investee company, using normative-juridical research methods.

"PT OCBC NISP Ventura, di bawah naungan PT OCBC NISP Tbk, merupakan sebuah perusahaan modal ventura (“PMV”) yang bergerak di bidang investasi. Dalam program magang ini, Penulis ditempatkan pada divisi investasi dengan jabatan sebagai investment intern, yang berperan untuk melakukan riset industri dan turut membantu kegiatan due diligence yang dilakukan. Hasil observasi Penulis setelah menyelesaikan program ini menyampaikan bahwa PT OCBC NISP Ventura sudah berperan sebagai PMV dalam memberikan dampak bagi startup dalam bentuk pendanaan dan arahan serta telah melibatkan metode-metode pendekatan dalam menentukan keputusan investasi. 

PT OCBC NISP Ventura, under the auspices of PT OCBC NISP Tbk, is a venture capital (“VC”) engaged in investment. In this internship program, the author is placed in the investment division with the position of investment intern, whose role is to conduct industrial research and assist in the due diligence activities carried out. Observation results The author after completing this program stated that PT OCBC NISP Ventura has played a role as a VC in impacting startups in the form of financing and direction and has involved approaches in determining investment decisions."

"Penundaan Kewajiban Pembayaran Utang merupakan salah satu upaya yang dapat ditempuh oleh Debitur dalam hal Debitur tidak dapat melunasi utang utangnya terhadap Kreditur namun masih beritikad baik untuk menjalankan usahanya Peraturan perundang undangan mengatur bahwa jika yang menjadi Debitur adalah perusahaan yang bergerak di bidang Modal Ventura maka kewenangan untuk mengajukan permohonan Penundaan Kewajiban Pembayaran Utang adalah Otoritas Jasa Keuangan terkait dengan wewenang dan fungsi nya sebagai pengawas dan pemberi izin untuk kegiatan usaha tersebut Dalam kasus ini Perusahaan Modal Ventura sebagai Debitur tidak memiliki izin dari Otoritas Jasa Keuangan dan peraturan perundang undangan tidak mengatur kedudukan dari perusahaan tersebut yang tidak berizin Metode penelitian yang digunakan adalah yuridis normatif dengan studi pustaka yang didasarkan pada studi kasus Berdasarkan hasil penelitian bahwa Perusahaan Modal Ventura yang tidak berizin OJK menandakan bahwa ia tidak berada di bawah pengawasan OJK kedudukan perjanjiannya dengan investor adalah perjanjian investasi biasa yang menimbulkan hubungan utang piutang Selain itu hasil penelitian juga mengungkapkan bahwa Perusahaan Modal Ventura yang tidak berizin OJK dapat dimohonkan Penundaan Kewajiban Pembayaran Utang baik oleh Kreditur maupun oleh dirinya sendiri sebagai Debitur.

Suspension of Payment is an effort that can be conducted by the Borrower in terms of Debitor is unable to repay its debts to creditors but still acting in good faith to run the business Regulation provides that if the Debitor is a company engaged in the field of venture capital the authority to apply for Suspension of Payment is the Financial Services Authority OJK is associated with the authority and its functions as supervisor and licensor for the business activities In this case the Venture Capital Company as the Debtor does not have permission from the Financial Services Authority and the legislation does not regulate the position of these companies are not licensed The method used is the juridical normative literature is based on case studies Based on the research that the Venture Capital Company that does not own a license from OJK indicates that he was not under the supervision of the OJK the status of its agreement with its investors are the usual investment agreement that raises the debt receivable relationship In addition the results also revealed that the Venture Capital Company without a license can be petitioned Suspension of Payment either by creditors or by the debtor itself.

"Tesis ini membahas mengenai kriteria evaluasi investasi yang diterapkan oleh Perusahaan Modal Ventura (PMV) dalam mengambil keputusan investasi atas Perusahaan Pasangan Usaha (PPU) atau investee. Pada tesis ini, peneliti menggunakan benchmarking pada kriteria evaluasi investasi (investment evaluation criteria) yang digunakan oleh PMV dalam menganalisa dan menetapkan PPU mereka. Secara keseluruhan, terhimpun 12 kriteria. Dari literatur diperoleh untuk berinvestasi di AS disyaratkan 10 dari 12 kriteria. Hal ini menunjukkan bahwa PMV di Amerika Serikat memiliki persyaratan kriteria evaluasi investasi yang lebih banyak dan ketat dibandingkan negara lain. Di bawahnya terdapat Singapura yang memiliki 8 kriteria, Eropa 6 kriteria, Kanada 5 kriteria dan wilayah Asia Pasifik 4 kriteria. Dari hasil penelitian ditunjukkan bahwa Indonesia memiliki 8 kriteria dari 12 kriteria. Penelitian ini didukung oleh analisis terhadap data dokumen, observasi dan wawancara.

This thesis discusses about the investment evaluation criteria employed by Venture Capital Firms (VCF) in deciding to invest on potential investee companies. For this thesis, the researcher utilized investment evaluation criteria used by VCFs in analyzing and determining their investee portfolio as a benchmark. In total, 12 investment evaluation criteria are observed. From literature, it was discovered that VCFs in the US considered 10 out of the 12 criteria to be significant. This shows that VCFs in the US stricter and more rigorous when it comes to investment criteria compared to their counterparts in the study. Singapore comes second with 8 criteria, followed by Europe with 6 criteria, Canada with 5 criteria, and the Asia Pacific region with only 4 criteria that they consider to be significant. Based on the findings of this study, VCFs in Indonesia considers 8 criteria to be significant. This research is supported with analysis of the data, comprehensive observation, and in-depth interview."

"Tesis ini membahas mengenai strategi yang diterapkan oleh perusahaan startup untuk mendapatkan bantuan pendanaan dan berkembang bersama Perusahaan Modal Ventura (PMV). Pada tesis ini, peneliti menggunakan metode penelitian study case untuk menganalisa permasalahan mengenai cara perusahaan startup untuk mendapatkan bantuan investasi dari PMV. Dari hasil penelitian ditunjukkan perusahaan startup harus dapat menunjukkan performa operasional yang bagus, baik dari segi kinerja tim dan juga pertumbuhan konsumen yang stabil sebagai kriteria utama untuk dapat berkerjasama dengan PMV. Selain bantuan dalam bentuk pendanaan, PMV juga ikut berperan aktif memberikan bantuan dibidang Human Resource, Networking, dan bantuan dalam bidang manajemen lainnya untuk membantu perusahaan startup dapat berkembang secara cepat. Penelitian ini didukung oleh analisis terhadap data dokumen, observasi dan wawancara. 

This thesis discusses the strategy adopted by startup company to secure funding and growing with Venture Capital Firms (VCF). In this thesis, the researcher using case study research methods to analyze the problem about how a startup companies can get funding from VCF. From the results of this study indicated a startup company that are able to demonstrate good operational performance, both in terms of team performance and steady consumer growth is the main criteria to be able to cooperate with VCF. In addition to assistance in the form of funding, VCF also participate actively to provide assistance in human resource, networking, and  other areas in company management to help startup companies to be able growing faster. This research was supported by the analysis of document data, comprehensive observation, and in-depth interview."

"Skripsi ini membahas mengenai akibat dari pengaturan modal ventura terhadap kekhususan Perusahaan Modal Ventura (PMV) di Indonesia. Adanya perbedaan mendasar mengenai konsep PMV yang dikenal secara umum dan konsep PMV di Indonesia menyebabkan PMV di Indonesia memiliki kekhususan tersendiri. Menanggapi hal ini, Otoritas Jasa Keuangan mengeluarkan peraturan baru terkait PMV guna melakukan revitalisasi untuk dapat mengembalikan PMV kepada inti bisnisnya yaitu equity financing. Berdasarkan hal tersebut, terdapat beberapa permasalahan yang ditemukan yakni bagaimana konsep modal ventura secara umum dan penerapannya di Indonesia dan bagaimana implikasi pengaturan modal ventura terhadap kekhususan PMV di Indonesia. Permasalahan tersebut akan dijawab dalam penelitian ini dengan menggunakan metode penelitian yuridis normatif. Pada akhir pengkajian, ditemukan bahwa penerapan PMV di Indonesia yang berbeda dengan PMV pada umumnya mengakibatkan PMV di Indonesia tidak tepat sasaran karena cenderung seperti lembaga pembiayaan.

This thesis discusses the implication of venture capital regulation on venture capital firm specificity in Indonesia. There is a fundamental difference between venture capital firm concept in Indonesia and the concept outside Indonesia, therefore the venture capital firm concept in Indonesia has its own specificity. Based on that concept, Indonesian Financial Services Authority (OJK) issued a regulation on venture capital firm to modify the concept back to its original concept which is by the equity financing method. But, there are some problems found in order to modify the concept, such as how Indonesia applies the general concept of venture capital in its regulation and how the implication of it shall work on venture capital firm specificity in Indonesia. The solutions of those problems will be solved by using normative juridical method. At the end of this thesis, the conclusion is Indonesia has its own concept on venture capital firm specificity which makes the venture capital firm in Indonesia seems to be like financing institution.

"Tesis ini membahas mengenai analisis pembiayaan secara bertahap staged financing yang diberikan oleh perusahaan modal ventura VCF kepada perusahaan startup di Indonesia, apakah benar pemberian pendanaan dilakukan secara bertahap atau tidak, termasuk persyaratan dari VCF ke perusahaan startup untuk dapat memperoleh pendanaan tahap berikutnya. Seiring kesadaran akan pentingnya teknologi meningkat, banyak perusahaan startup di Indonesia yang didirikan. Kebutuhan pendanaan perusahaan ini bukanlah sesuatu yang mudah untuk dipenuhi. Berdasarkan literatur, pendanaan secara bertahap umum dilakukan oleh VCF. Pendanaan pada startup dihadapkan pada adanya informasi asimetris yang tinggi baik terkait dengan masalah seleksi yang berpotensi merugikan maupun masalah moral hazard. VCF yang melakukan investasi pada startup yang potensial perlu mengurangi risiko ini dengan menginvestasikan dana secara bertahap.
Penelitian kualitatif ini dilakukan dengan melakukan wawancara mendalam. Unit analisis penelitian ini adalah startup Indonesia yang didanai oleh VCF atau private equity. Objek penelitian berjumlah 6 startup di Indonesia. Berdasarkan hasil analisis, ditemukan bahwa perusahaan startup di Indonesia yang dibiayai oleh VCF atau investor lainnya diberikan pendanaan secara bertahap, atau dikenal dengan istilah staged financing. Selain itu, peneliti juga menemukan bahwa untuk mendapatkan pembiayaan tahap selanjutnya, VCF menetapkan beberapa persyaratan yang harus dipenuhi oleh perusahaan startup yang mereka danai. Persyaratan ini bahkan melibatkan proses audit.

This thesis concerns analysis of the staged financing given by Venture Capital firms VCFs to the Indonesian start ups they financed, whether or not the staging exists, including the requirement from VCFs to the start ups in order to get the next stage of financing. As awareness of the importance of technology increased, many Indonesian start ups was established, most of them are technology based companies. These companies needs of funding are not something very easy to met. Funding on start ups encounter high information asymmetric both adverse selection problem as well as moral hazard problem. VCFs investing in potential start ups need to mitigate this risk by gradually invest its fund. Based on the literature, staged financing is widely used by VCFs.
This qualitative research run by conducting in depth interviews. The unit of analysis are Indonesian start ups funded by VCFs or private equity fund. Object of analysis are 6 Indonesian startups. We found that Indonesian start ups financed by VCFs or private equity funds are given the fund in stages, or also known as staged financing. We also found that to get the next stage of financing, VCFs set some requirements for start ups they financed to fulfil. These requirements even involve audit process followed strictly.

Penelitian ini bertujuan untuk menguji pengaruh dari growth opportunity yang
diukur dengan Market To Book Value of Assets (MVABVA), net working capital
diukur dengan perbandingan antara net current assets minus kas dengan total aset
nonkas, dan profitability yang diukur dengan Return On Equity (ROE) terhadap
cash holding yang diukur dengan perbandingan antara kas dan setara kas dengan
total aset nonkas, menggunakan sampel perusahaan nonkeuangan yang terdaftar di
BEI periode 2010 ? 2014. Hasil penelitian ini menunjukkan bahwa growth
opportunity berpengaruh positif terhadap cash holding, net working capital
berpengaruh negatif terhadap cash holding dan profitability berpengaruh positif
terhadap cash holding.

ABSTARCT
This study aimed to examine the effect of growth opportunity that measured by

by comparing the amount of net current assets minus cash and cash equivalents
with total non cash assets, and profitability measured by Return On Equity (ROE)

2010-2014 as samples. The result shows that growth opportunity is positively
correlated with cash holding, net working capital is negatively correlated with

Tesis ini menganalisis hubungan pengelolaan modal kerja terhadap kinerja 254 perusahaan manufaktur yang di ASEAN-5 (Indonesia, Malaysia, Thailand, Philippines, and Singapore). Investasi modal kerja optimal sensitif terhadap kendala keuangan di mana hubungannya membentuk grafik U terbalik. Dengan kata lain, penambahan investasi pada modal kerja dapat menguntungkan, tetapi pada titik tertentu, penambahan investasi pada modal kerja justru dapat menurunkan kinerja perusahaan. Titik balik tersebut disebut sebagai level optimal. Perusahaan dengan kendala keuangan memiliki level optimal yang lebih rendah karena perusahaan menanggung beban pembiayaan (financial cost) dan biaya pembiayaan tambahan sehingga pertimbangan manajemen dalam memutuskan penambahan pada modal kerja menjadi sangat ketat. Tesis ini dapat membantu manajemen dalam memutuskan level optimal investasi pada modal kerja dan memaksimalkan nilai dan kinerja perusahaan. Tesis ini juga melihat hubungan kinerja perusahaan dengan faktor makroekonomi di mana penelitian ini menganalisis dampak Financial Development Index (yang diterbitkan oleh World Bank) terhadap kinerja perusahaan.


This thesis observes the linkage of working capital management and company financial performance of 254 manufacturers in ASEAN-5 (Indonesia, Malaysia, Thailand, Philippines, and Singapore). The optimum working capital investment is sensitive to financial constraint in which the relation shows the inverted U-shaped. In other words, investment in working capital can be profitable, but at the certain point, more investment in working capital can lower the companys performance. Such turning point is called an optimum level. Companies with financial constraint have lower optimum level because the companies bear higher financial cost and additional financial expense so that managements consideration in increasing working capital are very strict. This thesis can help the management in deciding the optimal investment level on working capital and maximizing the companys value and performance. This thesis also looks at the relationship of company performance with macroeconomic factors in which this study examines the effect financial development index (published by the World Bank) to companys performance.
