Abstrak :
Penelitian ini bertujuan untuk mendapatkan bukti mengenai efek dari dilakukannya akuisisi yang dijalankan PT. Hakaaston terhadap 3 anak perusahaan yaitu terhadap PT. Bhirawa Steel, PT. Semen Indogreen Sentosa dan PT. Catur Armindo Putra yang dimulai pada tahun 2019. Akuisisi yang dijalankan umumnya memberikan ekspektasi keuntungan bagi perusahaan pengakuisisi, namun pasca 3 tahun dijalankannya akuisisi belum terjadi perubahan yang signifikan sehingga memunculkan pertanyaan apakah akuisisi yang dijalankan telah disusun berdasarkan strategi yang tepat serta pertimbangan yang matang. Peneliti melakukan analisis mendalam mengenai kondisi ini menggunakan metode campuran (mix method) untuk mengetahui akuisisi yang dijalankan apakah  dapat menimbulkan Financial synergies atau Operational Synergies. Temuan empiris berdasarkan data laporan keuangan perusahaan pasca akuisisi menemukan bahwa 2 dari 3 anak perusahaan mengalami peningkatan dari segi keuangan perusahaan namun perusahaan induk selaku pengakuisisi mengalami penurunan pasca akuisisi perusahaan. Analisis atas hasil wawancara dari narasumber menjelaskan bahwa akuisisi yang dijalankan tidak hanya mengacu kepada Financial Synergies, namun juga terhadap Operational synergies dimana perusahaan memiliki peranan untuk membantu pembangunan Jalan Tol Trans Sumatra. Hasil temuan penelitian ini dapat menjadi dasar untuk penelitian-penelitian selanjutnya mengenai kebijakan dalam Merger & Akuisisi (M&A) yang tidak hanya bersifat menguntungkan bagi satu pihak namun lebih kepada manfaat ekonomi. ......This study aims to obtain evidence regarding the effect of the acquisition carried out by PT. Hakaaston towards 3 subsidiaries namely towards PT. Bhirawa Steel, PT. Cement Indogreen Sentosa and PT. Catur Armindo Putra which began in 2019. Acquisitions carried out generally provide expected profits for the acquiring company, but after 3 years of acquisitions there have been no significant changes, raising the question of whether the acquisitions carried out have been prepared based on the right strategy and careful consideration. Researchers conducted an in-depth analysis of this condition using a mixed method (mix method) to determine whether the acquisitions carried out could lead to Financial synergies or Operational Synergies. Empirical findings based on post-acquisition company financial statement data found that 2 out of 3 subsidiary companies experienced an increase in the company's finances, but the parent company as the acquirer experienced a decline after the company's acquisition. Analysis of the results of interviews with informants explained that the acquisitions carried out did not only refer to Financial Synergies, but also to Operational synergies where the company has a role in helping the construction of the Trans Sumatra Toll Road. The findings of this study can become the basis for further research regarding policies in Mergers & Acquisitions (M&A) which are not only beneficial for one party but more for economic benefits.

Penelitian ini meneliti dampak akuisisi mengurangi kendala keuangan perusahaan target dan juga meneliti bagaimana perbedaan kendala keuangan perusahaan target dan acquirer dapat menciptakan keuntungan sinergi. Peneliti menggunakan sampel perusahaan yang mengakuisisi dan diakuisisi di ASEAN selama periode 1988-2016. Dilihat dari kepemilikan tunai, sensitivitas arus kas terhadap kepemilikan tunai dan sensitivitas arus kas terhadap investasi, hasilnya menunjukan bahwa kendala keuangan perusahaan target berkurang setelah diakuisisi. Dengan membangun perbedaan kendala keuangan perusahaan target dan pengakuisisi, peneliti menemukan keuntungan sinergi operasi dihasilkan dari akuisisi. ......The research examines whether acquisitions lessen financial constraints of target firms and examines mergers and acquisition motivated by financial constraints based on sample of acquirer firms and target firms in ASEAN over the period of 1988-2016. Using cash holdings of target firms, cash flow sensitivity to cash holdings and cash flow sensitivity to investment, the author found that the target company's financial constraints are reduced after being acquired. By constructing a financial constraint difference between the target and the acquirer, the author found a positive relationship between the financial constraints difference and synergy gains generated from the acquisition.

The book reports on advanced topics in the areas of neurorehabilitation research and practice. It focuses on new methods for interfacing the human nervous system with electronic and mechatronic systems to restore or compensate impaired neural functions. Importantly, the book merges different perspectives, such as the clinical, neurophysiological, and bioengineering ones, to promote, feed and encourage collaborations between clinicians, neuroscientists and engineers.
