ABSTRAK Merger dan akuisisi banyak dilakukan perusahaan perusahaan di dunia untuk meningkatkan pertumbuhan termasuk industri Fast Moving Consumer Goods FMCG yang menjadi top deal value pada masa deal decade. Di Indonesia salah satu perusahaan FMCG yang melakukan merger dan akuisisi adalah PT Unilever Indonesia Tbk. Pemilihan Unilever Indonesia sebagai objek penelitian karena Unilever Indonesia telah melakukan berbagai strategi merger dan akuisisi. Pada penelitian ini pembahasan difokuskan pada merger dan akuisisi yang terjadi di antara 2005 2014 yaitu ketika pengambilalihan Buavita dan Gogo serta Sara Lee Body Care Indonesia. Reaksi pasar pada pengumuman kedua akuisisi tersebut merespon negatif. Akan tetapi pada pelaksanaannya Unilever Indonesia dapat meningkatkan pertumbuhan profitabilitas bahkan dapat memberikan dividen. Tingkat kegagalan yang dihadapi dapat diminimalisir dengan penggunaan metode dan strategi merger dan akuisisi yang berbeda.
ABSTRACT Mergers and acquisitions were conducted by many companies in the world to increase the company growth including Fast Moving Consumer Goods FMCG industry which became a top deal value during the deal decade. In Indonesia one of the FMCG companies that conducted mergers and acquisitions is PT Unilever Indonesia Tbk. Selection of Unilever Indonesia as the object of research because Unilever Indonesia has conducted various merger and acquisition strategies. In this study the discussion focused on mergers and acquisitions that occurred between 2005 2014 when the Buavita and Gogo and Sara Lee Body Care Indonesia takeover Market reaction to the announcement both of the acquisition respond negatively. However in practice Unilever Indonesia could improve the growth and profitability even distributed dividends. The risk of failure of those mergers and acqusition can be minimized with the use of different methods and strategies of mergers and acquisitions.

Dengan jumlah generasi muda yang besar, Indonesia menghadapi tantangan sekaligus peluang untuk meningkatkan kapasitas generasi muda dan memaksimalkan kontribusi mereka terhadap pertumbuhan ekonomi negara. Memberdayakan generasi muda dengan keterampilan dan pengetahuan yang sesuai dengan permintaan industri tidak hanya akan menguntungkan sektor swasta tetapi juga masyarakat pada umumnya. Pendidikan vokasi atau kejuruan adalah langkah untuk menghubungkan secara langsung lingkungan sekolah dan tempat kerja dan mempercepat lulusannya untuk bekerja di tahap awal karir mereka. Namun demikian, lembaga pendidikan vokasi yang ada, khususnya pada pendidikan menengah atas, masih perlu ditingkatkan karena tingkat penyerapan tenaga kerja yang rendah dibandingkan dengan lulusan lain dari jalur pendidikan yang lain. Berdasarkan analisis kuantitatif dengan metode entropy balancing dan instrumental variable, dampak sekolah menengah kejuruan terhadap tingkat pekerjaan dan upah lebih besar pada lulusan yang lebih muda dan berkurang pada kelompok usia yang lebih tua. Situasi ini menimbulkan pertanyaan terkait bagaimana memperkuat pendidikan vokasi yang ada sehingga dapat memberikan keterampilan dan pengetahuan kepada lulusan dan mereka mempertahankan keunggulan kompetitif mereka sepanjang karir mereka. ......With a large youth population, Indonesia faces both the challenge and the opportunity to increase the youth population's capacity and maximize their contribution to the country's economic growth. Empowering youth with skills and knowledge that match industry demand will benefit not only the private sector but society in general. Technical and Vocational Education and Training (TVET) is an avenue to directly connect school and workplace environments and accelerate its graduates becoming employed and being productive in the very early stage of their careers. However, existing TVET institutions, especially in upper secondary education, still need to be improved due to their low employment rate compared to other graduates from different educational streams. Based on quantitative analysis using entropy balancing and instrumental variable method, the impact of vocational secondary school on employment and wage levels is bigger in the younger graduates and diminished in the older age group. This situation raises concern about how to strengthen existing TVET institutions so they can provide updated skills and knowledge to their graduates and maintain graduates’ competitive advantage all through their careers.

Industri properti adalah sebuah industri yang terkait hampir dengan semua jenis industri lainnya. Keunikan lain dari properti adalah sebagai salah 1 kebutuhan dasar manusia. Kedua hal ini membuat industri property dipilih dalam proses pemilihan industri. Pemilihan PT. Summarecon Agung Tbk. sebagai perusahaan yang dianalisis didasarkan pada 3 hal yaitu perubahan profitabilitas perusahaan dari penurunan berturut-turut menjadi kenaikan berturut-turut, keunggulan dibandingkan 2 perusahaan property tbk besar lainnya yang dipilih sebagai pembanding dalam proses seleksi, dan profitabilitas perusahaan di tahun 2013 yang di atas rata-rata industry. Keunggulan-keunggulan ini telah membuat PT. Summarecon Agung Tbk. menjadi sangat menarik untuk dianalisis, khususnya mengenai strategi korporasi, strategi bisnis, strategi keuangan, dan corporate action yang telah diterapkan oleh PT. Summarecon Agung Tbk. Analisis dan pembahasan ini akan dilakukan terhadap strategi-strategi korporasi dan tindakan-tindakan penting dari SMRA tahun 2004 sampai dengan tahun 2013 yang terbagi atas 4 periode. Kemudian akan dilanjutkan dengan analisis dan pembahasan strategi keuangan yang mencakup pertumbuhan, investasi, pendanaan, operasional, profitabilitas, resiko, kinerja keseluruhan, dan nilai dari PT. Summarecon Agung Tbk. terkait strategi-strategi dan tindakan-tindakan korporasi selama 4 periode tersebut.

Both of these make industrial real estate selected in the industry selection process. Selection PT. Summarecon Agung Tbk. as analyzed company is based on three things: the change of the company's profitability consecutive reduction into consecutive rise, advantages over two other major public real estate company selected as a comparison in the selection process, and the profitability of the company in 2013 were above the industry average. These advantages made PT. Summarecon Agung Tbk. become very interesting to be analyzed, particularly regarding corporate strategy, business strategy, financial strategy, and corporate action that has been applied by PT. Summarecon Agung Tbk. Analysis and discussion will be conducted on corporate strategies and critical actions of SMRA from 2004 to 2013, divided into 4 periods. Then will proceed with the analysis and discussion of the financial strategy that includes growth, investment, financing, operations, profitability, risk, overall performance, and the value of the PT.
