Abstrak :
As a prerequisite for life, every human being needs clean water. The more populated an area is, the more volume of water needed. Jakarta as a metropolitan city and the most populated area of Indonesia also face the same condition: its 12 million population needs kilotons of water daily. Therefore, the need for an established reliable and integrated clean water service in Jakarta is getting more and more important. ince decades ago, PAM Jaya has been the only municipal waterworks that operates in Jakarta. Yet, due to heavily indebted financial condition, it is impossible Far PAM Jaya to improve much of its service. Therefore, PAM Jaya then partnered with two world's giant in waterworks service, one of them is PALYJA. With helps from its partners, PAM Jaya's service is increasing gradually. However, some public considered the partnership only profit the partners, because after 7 years of the agreement, PAM Jaya is then burdened with new debts due to imbalanced proportion between the cost of water and the price. After many renegotiations took place, the agreement was then revised to a condition that PAM Jaya will not suffer losses, unless major changes in the business environment take place. The question arose is then asking when PAM Jaya, after being bound with the agreement, will be able to pay all the debts. In other word, when will PAM Jaya be free from its current indebted situation? Answering this, some projection has been made trying to foresee the future condition. The latest official projection stated that all the debts that PAM Jaya bear, either existing debts to the Ministry of Finance or the later operational debts to the partner would be paid by the year 2009. This implies that starting from 2010 PAM Jaya will continuously be a very profitable company. Further question to ask is then whether the profit earned by PAM Jaya is at the cost of Jakarta citizen's interest, i.e. by charging an expensive price to its customers, or can it act like a truly public service company by keeping the water price low and affordable to everybody in Jakarta, while maintaining its profitability.

Undang-Undang No. 40 Tahun 2007 tentang Perseroan Terbatas mewajibkan perseroan yang didirikan sebelum lahirnya undang-undang tersebut untuk menyesuaikan anggaran dasar perusahaannya agar sesuai dengan ketentuan Undang-Undang No. 40 Tahun 2007. Dalam kasus yang diangkat dalam tesis ini terdapat PT. Tjitajam yang menggugat Direktur Jenderal Administrasi Hukum Umum Departemen Hukum dan Hak Asasi Manusia ke Pengadilan Tata Usaha Negara karena tidak bisa melakukan perubahan anggaran dasar disebabkan ada pihak lain yang sebelumnya sudah melakukan perubahan anggaran dasar PT. Tjitajam, yang mana perubahan tersebut tidak diketahui oleh pihak PT. Tjitajam sebagai Penggugat. Pokok permasalahan dalam tesis ini adalah mengenai peranan Notaris dan Kementerian Hukum dan Hak Asasi Manusia dalam proses penyesuaian perubahan anggaran dasar PT. Tjitajam dan mengenai perlindungan hukum bagi pemegang saham PT. Tjitajam terhadap hasil putusan Pengadilan Tata Usaha Negara Jakarta Nomor 124/G/2009/PTUN-JKT. Bentuk Penelitian yang dipergunakan dalam penulisan tesis ini adalah penelitian hukum yuridis normatif dengan data yang digunakan adalah data primer, sekunder, dan tersier. Dalam pengolahan data digunakan metode kualitatif. Berdasarkan penelitian, dapat disimpulkan bahwa Notaris sebelum melakukan perubahan anggaran dasar harus melakukan pengecekan terlebih dahulu pada Sistem Administrasi Badan Hukum atas data-data perseroan yang terdapat pada perubahan anggaran dasar sebelumnya, apabila data-data tersebut cocok dengan data-data yang dimiliki Notaris, maka dapat dilanjutkan proses permohonan perubahan Anggaran Dasar ke Kementerian Hukum dan Hak Asasi manusia melalui system administrasi badan hukum, dalam hal ini peranan Kementerian Hukum dan Hak Asasi Manusia adalah melakukan pengecekan apakah permohonan tersebut sudah sesuai dengan persyaratan dan tata cara permohonan untuk perubahan anggaran dasar, dan apabila sudah sesuai maka Kementerian Hukum dan Hak Asasi Manusia mengeluarkan surat keputusan persetujuan perubahan anggaran dasar yang ditandatangani secara elektronis oleh Menteri.
ABSTRACT
Law No. 40 of 2007 concerning Limited Liability Company requires the company which established before the provision of the law to adjust their company's articles of the association to the provision of Law No. 40 of 2007. In this thesis there is PT. Tjitajam who bring lawsuit against Direktur Jenderal Administrasi Hukum Umum Departemen Hukum dan Hak Asasi Manusia to the State Administrative Court because it cannot amend its Articles of Association because there was another party did, which PT. Tjitajam as the plaintiff was not aware of such amendment. The main problems of this thesis are about Notary's and Ministry of law and Human Rights's role in the process of the amendment to the articles of the association of PT. Tjitajam and about the legal protection of PT. Tjitajam's shareholders to the verdict of the Jakarta's State Administrative Court number 124/G/2009/PTUN-JKT. The form of research used in this thesis is a normative legal research with the data used are primary data, secondary, and tertiary. In the data processing used qualitative methods. Based on the research, it could be concluded that before the amendment of the articles of the association, Notary, firstly has to check about the company's data on the Administrative System for Legal Entities, whether those datas are match with the datas that Notary's have, then if so, Notary can continue the process of amendment to the Ministry of Law through Administrative System for Legal Entities, in this case, the Ministry of Law and Human Right's role is to check whether the application is already correspond to the requirements and the procedure of the amendment to the articles of the association, and if so, then the Ministry of Law and Human Rights will issue the consent decree of the amendment to the articles of the association which electronically signed by the Minister.

Anggaran dasar suatu badan hukum baik yang berbentuk perseroan maupun perseroan terbuka merupakan hal yang fundamental. Tesis ini membahas suatu bentuk pengaturan pokok-pokok anggaran dasar yang wajib untuk dimuat dalam anggaran dasar suatu perseroan terbuka. Pembahasan disini terutama mengenai sifat pengaturan dan penerapan sanksi atas pelanggaran kewajiban penyesuaian anggaran dasar. Pasar modal memiliki peran penting dalam perekonomian Indonesia, sehingga pelaksaanan ketentuan yang dimuat dalam berbagai peraturan perundang-undangan harus dijalankan secara tepat dan diawasi secara tegas. Beralihnya fungsi Bapepam- Lk kepada OJK seharusnya dapat memberi perubahan yang terintegrasi menuju kea rah yang lebih baik, pembahasan dalam tesis ini diharapkan dapat memberikan kontribusi terdapat hal tersebut.
ABSTRACT
The articles of association of a legal entity in the form of either the company or the public company is fundamental. This thesis describes a form of regulation of key points to the articles of association which shall be published in a publicly held articles of association of public company. The discussion here is mainly on regulating attributes and application of sanction for the violations of obligations to adjust the articles of association. Capital markets have an important role in the Indonesian economy, thus imple provisions contained in various legislations must be executed appropriately and monitored strictly. Shift function from Bapepam-LK to the OJK should be given to the integrated change toward the better, the discussion in this thesis are expected to contribute to that.

Dalam praktek sering ditemukan akta Pendirian Perseroan Terbatas yang didirikan oleh hanya suami istri yang tidak membuat perjanjian perkawinan . Ada notaris yang mau menerima, ada juga notaris yang menolak tegas untuk membuatkan suatu Akta Pendirian Perseroan Terbatas yang didirikan oleh suami istri khususnya yang tidak membuat perjanjian perkawinan diantara keduanya. Metode yang digunakan dalam penelitian ini adalah metode penelitian hukum normatif yang dilakukan dengan cara meneliti bahan pustaka yang merupakan data sekunder terutama bahan hukum primer yang meliputi peraturan perundang-undangan antara lain UU No. 40 Tahun 2007 tentang Perseroan Terbatas, dan Undang-undang perkawinan. ......In common practice certificate Incorporation Limited Liability Company founded by husband and wife who not only made a marriage agreement . There is a notary who would accept, there is also a notary who firmly refused to make a Deed of Company Limited which was founded by husband and wife in particular that does not make a marriage treaty between them. The method used in this study is a normative legal research methods were done by examining library materials is a secondary data mainly primary legal materials that include legislation, among others, Law no. 40 of 2007 on Limited Liability Companies, and Act the marriage.

Tesis ini membahas tentang Analisis Pelaksanaan Program Kemitraan PT. Timah (persero) Tbk dalam Upaya Pemberdayaan Masyarakat di Kota Pangkalpinang. Penelitian ini menggunakan pendekatan kualitatif dengan jenis penelitian deskriptif. Sedangkan pengumpulan data menggunakan metode wawancara mendalam dengan 11 informan yang terdiri dari pelaksana program kemitraan PT. Timah (persero) Tbk, mitra binaan, Disperindagkop dan UMKM Kota Pangkalpinang dan LPPBISAKUM. Hasil penelitian ini menunjukkan bahwa pelaksanaan program kemitraan PT. Timah (persero) Tbk dilaksanakan sesuai dengan Per-Men BUMN No.Per-05/MBU/2007, namun masih belum optimal dan merata ke seluruh mitra binaan sehingga pemberdayaan masyarakat yang menjadi tujuan dari program belum sepenuhnya tercapai.
ABSTRACT
The thesis discusses about the analysis of the implementation of Kemitraan Program PT. Timah (persero) Tbk in community development efforts at Pangkalpinang City. This research used a qualitative approach with descriptive research. While data collection using in-depth interview with 11 informans which consisted of implementing Kemitraan Program PT. Timah (persero) Tbk, program benefeceries, local governments that SMEs Disperindagkop Pangkalpinang and LPPBISAKUM. The result of this research show that the implementation of Program Kemitraan PT. Timah (persero) Tbk has been implemented in accordance with the minister of state regulations governing the implementation of Kemitraan Programs, but has not headed towards community development. The implementation of the Kemitraan Program is still not optimal and not evenly distributed to all existising partners, therefore that goal of community development has not been fully achieved.

Peran notaris dalam rangka pembuatan akta pendirian perseroan terbatas yang menggunakan surat kuasa diatur dalam Pasal 8 ayat (3) Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas (UUPT). Penggunaan surat kuasa pendiri dalam rangka pendirian perseroan terbatas adalah hal yang biasa dalam praktek, akan tetapi di dalam Putusan Mahkamah Agung Nomor 58.PK/PID.SUS/2011, Surat Kuasa Nomor 031/765.A/VI/06/Ekon tanggal 12 Juni 2001 yang digunakan dalam rangka menandatangani akta pendirian PT. Selayar Marine Industri Nomor 3 Tanggal 12 Juni 2001, dibuat dihadapan Ridwan Zainuddin, SH, Notaris di Selayar cacat hukum karena Pendirian PT. Selayar Marine Industri (PT. SMI) tidak memenuhi prosedur dan bertentangan dengan Peraturan Daerah Nomor 7 Tahun 1997 tentang Penyertaan Modal Daerah Pada Pihak Ketiga (Perda Nomor 7/1997). Surat Kuasa tersebut digunakan terdakwa II bertindak untuk dan atas nama Pemerintah Kabupaten Selayar guna menandatangani akta pendirian PT. SMI. Pemerintah Kabupaten Selayar bertindak selaku pemilik dan pemegang saham sebesar 70% (tujuh puluh persen) saham. Berdasarkan Pasal 5 Perda Nomor 7/1997 seharusnya sebelum mendirikan perseroan terbatas harus terlebih dahulu dibuatkan perjanjian dasar mendirikan perseroan terbatas antara Pemerintah Kabupaten Selayar dengan pihak ketiga atau swasta dan dibuatkan Peraturan Daerah tentang Penyertaan Modal Pemerintah Kabupaten Selayar dengan pihak swasta, akan tetapi terdakwa II langsung menghadap kepada Notaris dan sama sekali tidak mematuhi Perda Nomor 7/1997. Pendirian PT. SMI merugikan Pemerintah Kabupaten Selayar karena PT. SMI seharusnya tidak pernah didirikan bahkan tindakan penyetoran APBD tahun anggaran 2001 sebagai setoran modal Pemerintah Kabupaten Selayar adalah tindak pidana korupsi. Penelitian ini merupakan penelitian hukum bersifat yuridisnormatif, bersifat deskriptif, dan jenis data yang digunakan adalah data sekunder. Hasil penelitian menyarankan agar Notaris sebagai jabatan yang berwenang membuat akta pendirian perseroan terbatas wajib bertindak profesional dan cermat agar tidak terdapat kesalahan pada aktanya dan tidak menyebabkan kerugian pada pihak-pihak yang berkepentingan.
ABSTRACT
The role of the notary in order to making the Deed of Establishment of the Limited Liability Company by the Power of Attorney is stipulated by Article 8 paragraph (3) of the Law Number 40 Year 2007 concerning Limited Liability Companies. The use of the Power of attorney of the founder, practically, is ordinary process, but in the Supreme Court Judgement Number 58.PK/PID.SUS/2011, the Power of Attorney Number 031/765.A/VI/06/Ekon dated on June 12nd 2001 which used in order to signing the Deed of Establishment of PT. Selayar Marine Industri Number 3 dated on June 12nd 2001, executed before Ridwan Zainuddin, SH, Notary in Selayar is legal defect because the Establishment of PT. Selayar Marine Industri (PT. SMI) isn’t in accordance with the prevailing procedurs and contrary to the Regional Regulation Number 7 Year 1997 concerning the Regional Capital Participation in Third Party (Reg Number 7/1997). That power of attorney is used by defendant II acting for and on behalf of the Goverment of Selayar Regencyto signing the Deed of Establihsment of PT. SMI. The Government of Selayar Regency acting as shareholder who own 70% (seventy percent) shares. In accordance with Article 5 Reg Number 7/1997 should before establishing the limited liabilities company, The Government of Selayar must be first entered into the basic aggrement of establishing the limited liabilities company between the Government of Selayar Regency and third party and issued the Regional Regulation concerning the Government of Selayar Regency Capital Participation in Third Party, but the defendant II directly before the Notary and obey the Reg Number 7/1997. The Establishment of PT SMI is disadvantage for the Government of Selayar Regency because PT. SMI should never been established even the payment of the APBD year 2001 as paid up capital is corruption. This research is a legal research of yuridis-normative and descriptif and the data are used the secunder data. The conclusion of this research is suggesting Notary as an authorized functional for making the Deed of Establishment of the Limited Liability Companies by acted professionally and carefully so there are no mistakes in the Deed and not accusing the disadvanteges to the related parties.

Perseroan terbuka mempunyai sistem manajemen yang berbeda dengan perseroan tertutup. Dalam perseroan terbuka harus terdapat transparansi yang dapat dipertanggungjawabkan kepada publik, mengingat banyaknya pemegang saham publik. Pemegang saham dalam suatu perseroan dapat terdiri dari pemegang saham minoritas dan pemegang saham mayoritas. Hal tersebut dapat dibedakan dari jumlah kepemilikan saham dalam suatu perseroan. Dikarenakan pemegang saham minoritas memiliki persentase kepemilikan saham yang lebih kecil dibandingkan dengan pemegang saham mayoritas, maka seringkali dirugikan atau ada ketidakpuasan terhadap keputusan-keputusan yang diambil oleh manajemen perseroan. Terlebih apabila manajemen perseroan didominasi oleh pemegang saham mayoritas, sehingga keputusan terkait perseroan yang diambil cenderung mewakili kepentingan pemegang saham mayoritas. Bahkan pada saat pengambilan keputusan melalui Rapat Umum Pemegang Saham (“RUPS”), maka pemegang saham minoritas akan mengikuti keputusan (dari pemegang saham mayoritas/melalui) RUPS. Bertitik tolak dari permasalahan tersebut di atas, maka masalah-masalah yang timbul sebagai berikut: pertama, bagaimana hak pemegang saham publik yang mengalami kerugian dalam perseroan terbuka karena nilai saham menurun yang disebabkan oleh tindakan pemegang saham mayoritas, kelalaian anggota direksi ataupun dewan komisaris; kedua, kesulitan apa yang dihadapi oleh pemegang saham minoritas dalam menuntut hak-haknya; ketiga, bagaimana hak anggota direksi untuk melakukan pembelaan terhadap setiap gugatan pemegang saham; keempat, apakah pemegang saham minoritas sudah cukup mendapat perlindungan hukum. Dari penelitian kepustakaan yang menggunakan metode atau bersifat yuridis normatif dengan metode pengumpulan data kepustakaan, hasil penelitian menemukan jawaban bahwa pemegang saham publik yang dirugikan dapat mengajukan gugatan derivatif, yaitu menggugat direksi atau dewan komisaris atas nama perseroan apabila mewakili minimum 1/10 dari jumlah seluruh saham perseroan, dan direksi sebagai pengelola perseroan dapat melakukan pembelaan atas adanya gugatan yang timbul dengan menggunakan prinsip Business Judgement Rule. Namun demikian, pemegang saham minoritas dalam perseroan terbuka belum cukup mendapat perlindungan hukum karena masih terdapat kesulitan dalam pembuktian. Disarankan agar prinsip keterbukaan perlu dimiliki dan diterapkan dalam perseroan terbuka serta otoritas lembaga, khususnya Otoritas Jasa Keuangan dan Bursa Efek Indonesia memainkan peran sentral dalam melindungi kepentingan pemegang saham dengan membuat peraturan-peraturan yang meningkatkan transparansi dan akuntabilitas pengelolaan perseroan publik.
ABSTRACT
A public company has a different system of management as opposed to a closed company. A public company is required to implement transparency accountable to the public, considering the huge number of the public investors. The shareholders in a company may distinct into minority shareholders and majority shareholders. That differentiation may be based on the portion of the shares ownership in the company. Due to the portion of the minority shareholders hold the shares in less number than the majority shareholders, often they are damaged or not satisfied by way the decision are made by the management of the company. This is based on the fact that the management of the company is dominated by the majority shareholders, thus corporate decision is taken for the benefit and interest of the majority shareholders. Even at the voting at the General Meeting of Shareholders, the minority shareholders shall follow the decision made by the majority shareholders. In the view of that, the issues are as follows: firstly, what are the rights of the public shareholders that incurred loss in a public company due to the value of the shares collapse as a result of the majority shareholders action, including the negligence of the Board of Directors members or even the Board of Commissioners members; secondly, what are the obstacles faced by the minority shareholders in the pursue for their rights; thirdly, what are the rights of the Board of Directors to defend itself against any claims of the shareholders; fourthly, are there adequate legal protection to the minority shareholders. Through literature data collating based on legal normative form by using library research methods it has summarized several answers, among others are that public shareholders who experience damages may use derivative action to claim on behalf of the company if the shareholders as the claimant represent all together minimum 10% voting rights of the entire shares issued by the company, and the Board of Directors may use the principle of Business Judgment Rule to defend itself of any claim raised against it. However, the minority shareholders in a public company are not adequately legally protected due to the obstacle in the implementation considering most of the claims must be proven. It is advisable that the transparency principle must be uphold and implemented in a public company and the related authorities, mainly Otoritas Jasa Keuangan (Financial Services Authority) and the Stock Exhance of Indonesia has a central role in the protection of the shareholders interest in the capital market by issuing provisions to enhance the transparency and accountability practice in the management of a public company.
