Abstrak :
Penelitian ini menganalisis mengenai kedudukan sub-holding company dalam perusahaan grup serta keberlakuan dari corporate charter milik PT PLN (Persero) menurut UUPT. Akan dilakukan penelitian berbentuk yuridis-normatif dengan tipologi eksploratoris, sehingga akan diperoleh keterangan dan penjelasan khususnya mengenai kedudukan sub-holding yang belum diatur dalam perundang-undangan serta keberlakuan corporate charter yang masih terbatas. Hasil penelitian ini menunjukkan bahwasanya sub-holding merupakan perusahaan induk sekunder dimana memiliki kedudukan sebagai holding sekaligus anak perusahaan. Keberlakuan corporate charter sebagai dokumen tata kelola yang digunakan PT PLN (Persero) kepada keempat sub-holdingnya telah menyalahi POJK No. 45/POJK.03/2020 tentang Konglomerasi Keuangan, yang mengatur penggunaan corporate charter sebagai perjanjian dalam lingkup konglomerasi keuangan. Selain itu, terdapat indikasi adanya piercing the corporate veil dalam keberlakuan corporate charter karena adanya pengendalian yang berlebihan dari PT PLN (Persero) selaku holding sekaligus pemegang saham dari keempat sub-holding di bawahnya. ......This study analyzes the position of the sub-holding company within a company group and the validity of the corporate charter owned by PT PLN (Persero) according to the Company Law. The research will take the form of a juridical-normative study with an exploratory typology, aiming to provide information and explanations, particularly regarding the undefined position of sub-holding in the legislation and the limited validity of the corporate charter. The results of this research indicate that the sub-holding is a secondary parent company with a dual role as both a holding and a subsidiary. The validity of the corporate charter as a governance document used by PT PLN (Persero) for its four sub-holdings violates POJK No. 45/POJK.03/2020 on Financial Conglomeration, which regulates the use of corporate charters as agreements within the scope of financial conglomerates. Additionally, there are indications of piercing the corporate veil in the validity of the corporate charter due to excessive control exerted by PT PLN (Persero) as the holding company and shareholder of the four sub-holdings beneath it.
