"Praktik pendanaan kolektif di Indonesia relatif baru. Salah satu Crowdfunding Platform (CF Platform) di Indonesia adalah Kitabisa.co.id yang dikelola oleh Yayasan Rumah Perubahan. Penelitian ini mengangkat masalah praktik pendanaan kolektif melalui CF Platform Kitabisa.co.id, mengidentifikasi ketentuan-ketentuan hukum yang mengatur praktik itu, dan menjajaki masalah hukum yang berpotensi untuk muncul di masa depan. Dari penelitian ini dihasilkan suatu kesimpulan bahwa peraturan perundang-undangan yang telah ada belum cukup untuk mengatur praktik pendanaan kolektif, sehingga diperlukan peraturan perundang-undangan yang khusus mengatur mengenai praktik ini. Namun demikian, perlu dilakukan penelitian lebih lanjut mengenai praktik pendanaan kolektif di Indonesia.

The practice of crowdfunding in Indonesia is relatively new. Kitabisa.co.id is one of the Crowdfunding Platforms (CF Platform) in Indonesia that is managed by the Rumah Perubahan Foundation. This research discusses the practice of crowdfunding by means of CF Platform Kitabisa.co.id, identifies the regulating provision of those practices, probes the legal issues that could potentially arise in the future. This research found that the current provisions in Indonesia do not fit the practices of crowdfunding well. Therefore it is necessary to establish provisions relating to those practices. But it is important to conduct further research on crowdfunding in Indonesia."

"ABSTRAKUndang-undang Nomor 17 Tahun 2012 tentang Perkoperasian memperkenalkan konsep permodalan yang belum pernah ada dalam pengaturan hukum sebelumnya, yakni berupa sertifikat modal koperasi yang mirip dengan konsep saham tanpa hak suara pada perseroan terbatas. Undang-undang tersebut kemudian dibatalkan oleh Mahkamah Konstitusi salah-satunya karena sertifikat modal koperasi tidak sesuai dengan asas kebersamaan dan kesukarelaan. Untuk itu perlu diteliti bagaimanakah penerapan konsep saham dalam badan usaha koperasi di Indonesia.Metode yang digunakan dalam penelitian ini adalah yuridis normatif, yangbertumpu pada data sekunder dan disajikan secara preskriptif analitis. Penelitian ini menemukan bahwa penerapan konsep saham dalam badan usaha koperasi dapat saja dilakukan pada koperasi yang jumlah anggotanya (dan ekuitasnya) besar. Sebaliknya konsep saham dalam badan usaha koperasi tidak sesuai diterapkan pada koperasi yang jumlah anggotanya kecil. Akan tetapi, penerapan konsep saham dalam badan usaha koperasi mencederai prinsip one person-one vote yang menjadi karakteristik koperasi sebagai perkumpulan orang. Selain itu, penerapan konsep saham dalam badan usaha koperasi juga bertentangan dengan konsep koperasi sebagai user-owned (dan user-controlled) businesses

ABSTRACTThe Law of the Republic of Indonesia Number 17 Year 2012 concerningCooperation introduced a new capital concept, that is sertifikat modal koperasithat has similar characteristics with the share without voting rights in a limitedliability company. Later on, Constitutional Court of Indonesia revoked the Actbecause among others sertifikat modal koperasi is in conflict with togetherness and voluntary cooperative principles. This thesis will examine whether the share concept can be applied in Indonesian cooperative. This research use juridicalnormative which is supported by the secondary data. This research will also be presented in the form of prescriptive-analytical. This research find out that the share concept can be applied in Indonesian cooperative that have the big members and equity. On the contrary, the concept can not be applied in the cooperative that have little member. But applying the share concept in Indonesian cooperative is in conflict with one person-one vote principle? that is characteristics of Indonesian cooperative as a association of persons. In addition to that, application the share concept in the Indonesian cooperative is in conflict with cooperative concept as user-owned (and user controlled) businesses."
