Abstrak :

Permasalahan dalam tesis ini meliputi akibat hukum terhadap pelaksanaan rapat pembina yayasan yang undangannya tidak sesuai dengan mata acara rapat dan tidak ada tanda tangan dari ketua yayasan serta implikasi hukum terhadap akta pernyataan keputusan rapat yang dibuat berdasarkan notulen rapat pembina tersebut. Metode penelitian yang digunakan adalah yuridis normatif, dengan tipe deskriptif analitis. Simpulan tesis ini adalah akibat hukum pelaksanaan rapat pembina yayasan yang undangannya tidak sesuai dengan mata acara rapat dan tidak ada tanda tangan dari ketua yayasan menjadi cacat hukum karena pelaksanaannya melanggar ketentuan dari Anggaran Dasar Yayasan Dharma Bakti Indonesia (YDBI) dan ketentuan Undang-Undang Yayasan, sehingga berimplikasi hukum akta tersebut menjadi tidak berkekuatan hukum serta susunan kepengurusan Yayasan Dharma Bakti Indonesia (YDBI) kembali seperti sebelum ada rapat pembina yang cacat hukum tersebut. Saran dalam tesis ini adalah sebelum membuat akta, terutama akta pernyataan keputusan rapat, Notaris wajib meneliti dan memeriksa kelengkapan dokumen agar tidak terjadi kesalahan dikemudian hari yang dapat merugikan para pihak maupun Notaris itu sendiri.

The problems in this thesis include the legal consequences of the implementation of the meeting of the trustees whose invitations are not in accordance with the agenda of the meeting and there is no signature from the chairman of the foundation and the legal implications of the meeting decision statement deed made based on the minutes of the advisory meeting. The research method used is normative juridicatl, with analytical descriptive type. The conclusions of this thesis are due to the legal implementation of a meeting of trustees whose invitation is not in accordance with the agenda of the meeting and there is no signature from the chairman of the foundation being legally flawed because the implementation violates the provisions of the Dharma Bakti Indonesia Foundation (YDBI) and provisions of the Foundation, so the legal implications of the deed were not legally enforceable and the management structure of the Dharma Bakti Indonesia Foundation (YDBI) returned as before as the meeting of the legal defender adviser. The suggestion in this thesis is that before making a deed, especially a statement of decision for a meeting decision, the Notary is obliged to examine and check the completeness of the documents so that there are no mistakes in the future that could harm the parties and the Notary itself.
