Abstrak :
Skripsi ini membahas mengenai pengambilalihan yayasan yang dilakukan oleh Perseroan Terbatas dan akibat dari pelaksanaan pengambilalihan tersebut. Proses pengambilalihan yayasan sedikit berbeda dengan proses akuisisi Perseroan Terbatas, dimana dalam akuisisi Perseroan Terbatas jenis akuisisi yang sering terjadi adalah akuisisi saham. Dalam mengambilalih yayasan tidak mungkin dilakukan dengan akuisisi saham, hal ini dikarenakan yayasan tidak memiliki saham, sehingga jenis yang mungkin untuk dilaksanakan adalah pengambilalihan aset yayasan. Skripsi ini akan memaparkan salah satu contoh dari sebuah proses pengambilalihan aset yayasan yaitu Yayasan ABC yang diakuisisi oleh PT XYZ dan juga mengenai akibat dari akuisisi aset yayasan bagi Yayasan ABC. ......The focus of this thesis is the take over of a foundation by a Limited Liability Company and the result of the implementation of the take over. Take over of a foundation is a little different from the acquisition of Limited Liability Company, which in the acquisition of Limited Liability Company a common type of acquisition which is performed is the acquisition of shares. In take over of a foundation, it is impossible with the acquisition of shares, it is because the foundation does not own shares, so the action which is possible to be implemented is take over of foundation’s assets. This thesis will describe an example of take over of foundation’s asset which is ABC Foundation which acquired by the PT XYZ and also the result of the take over of foundation’s assets for the ABC Foundation.
