ABSTRAK
Skripsi ini berisi tentang kegiatan penanaman modal asing pada perusahaan startup berbasis elektronik e-commerce di Indonesia. Permasalahan terdapat pada bagaimana pengaturan terhadap kegiatan penanaman modal asing pada startup e-commerce di Indonesia, mengingat di Indonesia terdapat ketentuan Daftar Negatif Investasi DNI . Selanjutnya, dilihat pula dampak hukum penggunaan convertible notes terhadap ketentuan Daftar Negatif Investasi DNI dalam rangka pendanaan startup e-commerce. Penelitian ini adalah penelitian yuridis-normatif dimana sumber data diperoleh dari data sekunder dan dianalisis secara kualitatif. Hasil penelitian menunjukkan bahwa kegiatan penanaman modal asing terhadap startup e-commerce mulai diatur secara rinci pada Daftar Negatif Investasi DNI tahun 2016. Lalu, ketentuan Daftar Negatif Investasi DNI tidak dapat diterapkan terhadap penanam modal asing yang mengunakan convertible notes. Dalam hal ini, Indonesia juga belum memiliki peraturan mengenai startup.

ABSTRACT
This research is about the activities of foreign investment in startup companies with electronic based or e commerce in Indonesia. Main issues of this research is how to manage the activities of foreign investment for startup e commerce in Indonesia, considering that in Indonesia there is a provision of Negative Investment List DNI . Furthermore, how the legal implications of using convertible notes towards Investment Negative List DNI in the framework of e commerce startup funding. This research is a normative juridical where the data sources obtained from secondary data and analyzed qualitatively. The results showed that the investment activities of the startup e commerce began to be regulated in detail in Negative Investment List DNI in 2016. Hereinafter, the provisions of the Negative Investment List DNI cannot be applied to foreign investors who use the convertible notes. In this case, Indonesia also does not have regulations pertaining to startup.
