Abstrak :
Putusan Pengadilan yang menyatakan tidak mempunyai kekuatan hukum mengikat suatu Akta Pendirian Perseroan Terbatas yang dibuat oleh Notaris menjadi latar belakang penulisan tesis ini. Pokok permasalahan adalah mengenai pertimbangan hukum yang dapat mempengaruhi dibatalkannya Akta Pendirian Perseroan Terbatas oleh Pengadilan, dan mengenai tanggung jawab Notaris apabila Akta Pendirian Perseroan Terbatas yang dibuatnya dibatalkan oleh Pengadilan. Penelitian ini dilakukan berdasarkan penelitian kepustakaan yang bersilat yuridis normatif dengan tipe penelitian yang digunakan adalah fact finding dan penelitian problem finding sehingga dapat diperoleh jawaban permasalahan bahwa pembatalan Akta Pendirian dapat terjadi apabila tidak dilakukan penyetoran modal sesuai ketentuan Anggaran Dasar Perseroan dan/atau ketentuan Undang-Undang, dan bentuk pertanggungjawaban Notaris terhadap Akta Pendirian Perseroan Terbatas yang dibatalkan oleh Pengadilan. ......Court decision that States do not have any binding legal force of a Limited Liability Company Establishment Deed made by the Notary to be the background of this thesis. Main problems are the legal considerations that may affect the cancellation of an establishment deed of a Limited Liability Company by the Court, and the responsibility of the Notary when the deed of establishment is canceled by the Court. This research is based on the research literature related to the type of juridical normative research with the research type offact finding and problem finding research which shows that cancellation of deed of establishment of Limited Liability Company can occur when the establishment is not made in line with the obligations of Capital deposit as stated or govem in Articles of Association and/or the provision of the Law, and type of notary responsibilities regarding the cancellation of the deed of establishment of a Limited Liability Company by the court.

ABSTRACT
Court decision that states do not have any binding legal force of a Limited Liability Company Establishment Deed made by the Notaiy to be the background of this thesis. Main problems are the legal considerations that may aifect the cancellation of an establishment deed of a Limited Liability Company by the Court, and the responsibility of the Notary when the deed of establishment is canceled by the Court.
