Kode Sumber adalah keberadaan instruksi dalam bentuk kode-kode dalam bahasa tingkat tinggi yang relatif dapat dimengerti oleh para programer pada umumnya. Kode Sumber atau Software merupakan bagian yang tidak terpisahkan dari Program Komputer. Dalam Undang-Undang Nomor 19 Tahun 2002, Program Komputer merupakan salah satu ciptaan yang dilindungi. Dalam hal penguasaan atas Kode Sumber sebagaimana layaknya pemilik. Terdapat benturan kepentingan antara Vendor dengan pengguna. Perbedaan itu dapat dicarikan jalan tengahnya dengan pembuatan perjanjian penitipan kode sumber atau yang disebut dengan Escrow Agreement kepada Pihak ketiga (Escrow Agent) yang akan memberikan hak kepada pengguna untuk dapat mengakses kode sumber jika terjadi sesuatu pada Vendor yang berpotensi akan merugikan si pengguna. Dalam Hal Notaris sebagai pihak yang bertanggung jawab mengemban amanat secara professional menurut Undang-Undang Nomor 11 Tahun 2008 tentang Informasi dan Transaksi Elektronik kepada Pihak Pencipta dan Pengguna terhadap keberadaan Program Komputer tersebut, dimana Notaris sebagai pihak yang netral dan pihak ketiga yang dipercaya dapat menyimpan sendiri kode sumber tersebut atau dapat melakukan penyimpanan kode sumber dengan menggunakan jasa penyimpanan pihak lain terhadap keberadaan fisik program kode sumber tersebut.

ABSTRACT
Source Code is the presence of instructions in the form of codes in a relatively high-level language could be understood by the programmers in general. Source Code or Software is an integral part of a computer program. In Act No. 19 of 2002, Computer Program is one of the protected inventions. In terms of control over source code as appropriate owners, there is a conflict of interest between the Vendor by the user. Those conflict of interest could be solved by making the deposit agreement of source code or known as Escrow Agreement. Those agreement conduct to a third party (Escrow Agent) which will entitle the user to be able to access the source code if anything happens to the Vendor who would potentially harm the user. In term of Notary as the responsible party in a professional, undertaking by Act No. 11 of 2008 on Information and Electronic Transactions, on behalf of to the Creator and Users of the existing computer program, which the Notary as a neutral party and trusted third party can hold the source code or can deposit source code using the other party deposit services in regard with the physical existence of the program source code.
