Abstrak :
Kewajiban divestasi saham pada sektor pertambangan dilatarbelakangi dengan tujuan meningkatkan partisipasi nasional dalam proses pengelolaan sektor penting untuk kepentingan pertumbuhan ekonomi nasional, yaitu dengan melakukan pembatasan terhadap kepemilikan asing pada sektor pertambangan. Akan tetapi, dengan semakin ketatnya regulasi yang ada, investor asing justru semakin gencar untuk mencari jalan keluar dalam rangka menyimpangi regulasi tersebut agar kontrol yang dimiliki oleh investor asing tidak berkurang, salah satunya dengan pembentukan perusahaan cangkang melalui pembiayaan dari Reksa Dana Penyertaan Terbatas. Oleh karenanya, dalam skripsi ini akan dibahas mengenai dua permasalahan utama berkaitan dengan keabsahan atas penggunaan skema Reksa Dana Penyertaan Terbatas dalam proses pemenuhan kewajiban divestasi sebelum jangka waktu pelaksanaan dan akibat hukum yang timbul terhadap kedudukan pemilik manfaat atas penggunaan skema Reksa Dana Penyertaan Terbatas. Metode penelitian yang digunakan dalam penelitian ini adalah yuridis normatif yang didukung dengan studi kepustakaan dan wawancara narasumber dalam proses pengumpulan data. Berdasarkan hasil penelitian, penggunaan atas skema Reksa Dana Penyertaan Terbatas dalam proses pemenuhan kewajiban divestasi saham sebelum jangka waktu pelaksanaan oleh investor asing dilakukan dengan melibatkan suatu praktik yang melanggar peraturan perundang – undangan yang berlaku. Terlebih, penggunaan skema tersebut secara khusus ditujukan untuk hal yang bertentangan dengan peraturan perundang – undangan yaitu dengan tujuan melakukan penyamaran atas kepemilikan manfaat oleh investor asing melalui mekanisme perputaran dana. Sebagai akibatnya, kewajiban divestasi saham akan terlihat seolah – olah menjadi terpenuhi padahal kedudukan pemilik manfaat dari perusahaan tambang tersebut tetap berada pada investor asing. Oleh sebab itu, Pemerintah disarankan untuk melakukan penilaian atas ketercapaian tujuan dari kebijakan divestasi saham tidak hanya melalui kepemilikan secara hukum saja, melainkan juga melalui kedudukan pemilik secara manfaat. ......The share divestment’s obligation in the mining sector is motivated by the aim of increasing national participation in the process of managing important sectors for national economic growth purposes, namely by imposing restrictions on foreign ownership in the mining sector. However, with the increasingly strict regulations, foreign investors are aggressively looking for a way out to deviate from these regulations, one of which is by forming special purpose vehicle company through Limited Participation Mutual Funds’s financing scheme. Therefore, this thesis will focus on discussing two issues related to the validity of the use of the Limited Participation Mutual Funds scheme in fulfilling the share divestment’s obligation before the implementation period and the legal consequences arising to the position of the beneficial owner due to the use of this scheme. The research method used in this research is juridical-normative supported by literature study and interview in order to collect data. Based on the research result, the use of Limited Participation Mutual Funds scheme in the process of fulfilling the share divestment’s obligation before the implementation period by foreign investor is carried out by violating the applicable laws and regulations. Moreover, the use of this scheme is specifically intended for matters that are contrary to the applicable laws and regulations, namely with the aim of disguising benficial ownership position by foreign investors through the mechanism of fund turnover. As a result, the share divestment’s oblogation will appear to be fulfileed while the beneficial ownership of the mining company still remains with the foreign investors. Therefore, the Government is advised to assess the achievement of share divestment’s obligation not only by looking the legal ownership, but also through the position of the beneficial ownership.
