"Penelitian tesis ini difokuskan pada konsep yang dilakukan dalam melakukan rekonstruksi Holding Usaha Milik Negara (Holding BUMN) agar dikelola secara akuntabel. Bentuk penelitian yang digunakan adalah yuridis-normatif, tipologi penelitian preskriptif, jenis data yang digunakan adalah data sekunder, dan metode analisis data yang digunakan adalah metode kualitatif. Hasil penelitian yakni perlu dilakukan sinkronisasi Peraturan Pemerintah Nomor 72 Tahun 2016 tentang Perubahan atas Peraturan Pemerintah Nomor 44 Tahun 2005 tentang Tata Cara Penyertaan dan Penatausahaan Modal Negara pada Badan Usaha Milik Negara dan Perseroan Terbatas yang merupakan dasar hukum pembentukan Holding BUMN dengan peraturan perundang-undangan yang di atasnya yakni Undang-Undang Nomor 17 Tahun 2003 tentang Keuangan Negara dan Undang-Undang Nomor 19 Tahun 2003 tentang Badan Usaha Milik Negara karena kedua peraturan perundang-undangan belum memuat definisi holding dan pemisahan kekayaan negara yang dipisahkan sehingga menyebabkan konflik hukum dalam pelaksanaannya. Diperlukan konsep hukum ideal untuk menentukan pengelolaan dan pengawasan Holding BUMN agar sesuai dengan prinsip Bussiness Judgement Rule dan Good Corporate Governance yang akan menentukan kedudukan hukum dan batas tanggung jawab pemerintah dalam mengelola kekayaan Holding BUMN. This thesis research focuses on the concepts of reconstructing State-Owned Enterprises’s Holding (SOE’s Holding) to managed in an accountable manner. The form of research used is juridical-normative, prescriptive research typology, the type of data used is secondary data, and the data analysis method used is qualitative method. The results of the study are necessary to synchronize Government Regulation Number 72 of 2016 concerning Amendments to Government Regulation Number 44 of 2005 concerning Procedures for Participation and Administration of State Capital in State-Owned Enterprises and Limited Liability Companies which is the legal basis of SOE’s Holding establishment with the prevailing regulations are namely Law Number 17 of 2003 concerning State Finances and Law Number 19 of 2003 concerning State-Owned Enterprises because the two regulations do not contain the definition of holding and separation of separated state assets, causing legal conflicts in their implementation. An ideal legal concept is needed to determine the management and supervision of SOE’s Holding according the principles of Business Judgment Rule and Good Corporate Governance to determine the legal position and limits government responsibility in managing the wealth of SOE’s Holding. This needs to be done so the management of SOE’s Holding can conduct its business well to maximize potential, resources, and management in an accountable manner."
