"Tulisan ini menganalisis mengenai praktik penyelundupan hukum yang dilakukan melalui nominee agreement saham dalam penanaman modal asing di Indonesia. Tulisan ini disusun dengan menggunakan metode penelitian hukum doktrinal. Penyelundupan hukum merupakan suatu teori dalam hukum perdata internasional terkait suatu perbuatan untuk menggunakan hukum yang dianggap lebih menguntungkan dengan cara mengesampingkan penggunaan hukum yang seharusnya berlaku bagi pelaku penyelundupan hukum. Dalam penanaman modal asing di Indonesia, penyelundupan hukum melalui nominee agreement saham dilakukan sebab adanya pembatasan kepemilikan modal asing di Indonesia melalui Peraturan Presiden Nomor 49 Tahun 2021 tentang Bidang Usaha Penanaman Modal. Dalam penelitian ini, ditemukan bahwasanya nominee agreement saham secara nyata merupakan tindakan penyelundupan hukum di Indonesia sebab hal ini dilarang penggunaannya dalam Pasal 33 ayat (1) Undang-Undang Nomor 25 Tahun 2007 tentang Penanaman Modal. Untuk mengesampingkan keberlakuan hukum tersebut, maka pihak asing membuat nominee agreement saham agar mereka bisa melakukan penanaman modal di Indonesia tanpa terbentur pembatasan kepemilikan saham asing dalam hukum Indonesia dan seakan-akan hukum Indonesia tersebut tidak berlaku bagi dirinya. Hal ini berpotensi mengganggu iklim investasi di Indonesia dan membuat suatu persaingan usaha yang tidak sehat dalam penanaman modal di Indonesia. Oleh sebab itu, diperlukan tindakan sanksi berupa denda administratif terhadap pelaku penyelundupan hukum melalui nominee agreement saham yang dapat ditegakkan oleh Badan Koordinasi Penanaman Modal atau Kementerian Investasi.

This paper analyzes the practice of evasion of law carried out through nominee shareholders agreements in foreign investment in Indonesia. This study is conducted using doctrinal legal research methods. Evasion of law is a theory in private international law related to an act of using a more favorable law by bypassing the law that should apply to the perpetrator of the evasion. In foreign investment in Indonesia, evasion of law through nominee shareholders agreements occurs due to restrictions on foreign ownership in Indonesia, as stipulated in Presidential Regulation Number 49 of 2021 concerning Business Fields for Investment. This study finds that nominee shareholders agreements are clearly an act of evasion of law in Indonesia because their use is prohibited under Article 33 paragraph (1) of Law Number 25 of 2007 concerning Investment. To circumvent this law, foreign parties create nominee shareholders agreements so that they can invest in Indonesia without facing restrictions on foreign share ownership in Indonesian law, thereby making it seem as if Indonesian law does not apply to them. This potentially disrupts the investment climate in Indonesia and creates unhealthy business competition in foreign investment. Therefore, administrative fines as sanctions are needed for perpetrators of evasion of law through nominee shareholders agreements, which can be enforced by the Investment Coordinating Board or the Ministry of Investment."
