"Skripsi ini mencoba mengkaji dan membahas mengenai pertanggungjawaban direksi dalam hal pailitnya perseroan terbatas. Dalam melakukan kegiatan usaha perseroan dapat menggunakan modal sendiri (equity), tetapi dapat juga dengan meminjam berupa utang jangka pendek, jangka menengah dan jangka panjang yang didapatkan dengan perjanjian terhadap pihak ketiga. Bilamana utang tersebut tidak dapat dilunasi maka perseroan dapat dimohonkan pailit ke pengadilan niaga yang bila diputuskan pailit, maka harta kekayaannya akan dijadikan jaminan pelunasan kepada kreditor dan bila tidak cukup, direksi dapat dipertanggungjawabkan secara tanggung renteng. PErtanggungjawaban di atas dapat dimintakan apabila direksi melakukan kesalahan atau kelalaian dalam pengurusan perseroan yang menyebabkan perseroan pailit. PErtanggungjawaban Direksi ditinjau berdasarkan Undang-Undang No. 40 Tahun 2007 tentang PErseroan Terbatas dan Undang-Undang Nomor 37 Tahun 2004 tentang Kepailitan dan Penundaan Kewajiban Pembayaran Utang. Pertanggungjawaban Direksi tersebut juga dilihat berdasarkan doktrin dalam Hukum Perseroan yakni Piercing The Corporate Veil. Dalam skripsi ini penulis membahas mengenai bagaimana hukum kepailitan dan perseroan mengatur kewahjiban Direksi dalam melakukan pengurusan perseroan khususnya pertanggungjawaban direksi dalam hal pailitnya perseroan terbatas.

This thesis discusses the liability of directors in corporate bankruptcy. In conducting its activies the company, company can use their own capital or borrow debts acquired by the agreement to third parties. If the debt is not paid then the corporation may be filed to the commercial court to be declared bankruptcy. Accountability above can be requested if the board made a mistake or negligence in the management of the company that caused the company bankrupt. Accountability of Directors is reviewed as well as regulated in Law No. 40 of 2007 concerning Limited Liability Companies Board is also seen under the doctrine of the Company Law of the Piercing the Corporate Veil. In this thesis, the author discusses about how to manage corporate bankruptcy law and obligations of Directors in conducting the management company, especially the accountability of directors in the case of bankruptcy of a limited liability company."
