"Penelitian ini bertujuan untuk melihat bagaimana penerapan manajemen risiko di dalam suatu Perusahaan melalui penerapan Three Lines of Defense. Latar belakang penelitian ini dilakukan salah satunya dikarenakan Perusahaan tidak memiliki Fugsi Internal Audit untuk memberikan independent assurance terhadap pelaksanaan manajemen risiko Perusahaan. Data yang digunakan dalam penelitian ini diperoleh dari hasil wawancara dan observasi serta akan dijabarkan menggunakan teknik analisa deskriptif. Hasil dari penelitian ini menunjukkan bahwa Perusahaan belum melakukan manajemen risikonya secara maksimal pada masing-masing lini karena Perusahaan hanya memiliki lini pertama dari ketiga lini yang ada, sehingga dapat menimbulkan risiko terjadinya konflik kepentingan antara Prinsipal dan Agen dalam mencapai tujuan Perusahaan. Selain itu, seluruh risiko dan mitigasi yang dilakukan pada lini pertama belum dievaluasi secara maksimal karena Perusahaan hanya berfokus pada pencapaian mitigasi risiko secara penuh pada level President Director saja.

This study aims to see how the application of risk management in the company through the application of Three Lines of Defense. One of the reasons is because the Company does not have an Internal Audit to provide independent assurance regarding the implementation of risk management. The data used in this study were obtained from interviews and observations and will be described using descriptive analysis techniques. The results of this study indicate that the Company has not carried out risk management optimally on each line because the Company only has the first line of the three existing lines, so that it can pose a risk of conflicts of interest between the Principal and the Agent in achieving the Company's objectives. In addition, all risks and mitigation carried out in the first line have not been fully evaluated because the Company only focuses on achieving full risk mitigation at the President Director level."

Indonesia has the potential for an adequate natural gas as an alternative energy for the transportation and industrial sector, but its use is still relatively small until today. The development of natural gas as an alternative energy source need to be matched by infrastructure advancement by building a Compressed Natural Gas fueling station. However, the CNG fueling station project has many risks which impact on the value of its feasibility is still unknown so that the strategic plan to anticipate risks is necessary. Using Project Risk Management method, this research analyzes risk to determine its impact on the project?s feasibility with the approach of Value at Risk (VaR) and financial model. Results of these calculations are knowing the impact of risk on the project?s feasibility and risk response planning strategies to reduce the impact of such risks."

Bagi perusahaan-perusahaan yang bergerak di bidang migas, tentu mempunyai pengharapan agar kebijakan yang dihasilkan dapat memberikan iklim investasi yang kondusif, sehingga perlu dikaji lebih mendalam tentang kebijakan model apa yang akan dihasilkan dan diberlakukan? Utamanya kebijakan di bidang Migas, serta dampaknya bagi eksistensi perusahaan-perusahan migas tersebut. ABSTRACT

This thesis discusses about an anticipating to the national leadership changes post the presidential election in 2014. The new administration will have the authority to issue a policy on oil and gas business in Indonesia. The companies which engaged in oil and gas business have certainly expectation that the government policy on oil and gas industry can provide a conducive investment climate, so it needs to be studied more in depth about what policy models to be generated and enforced. The main policy on oil and gas industry as well as the implications of the existence of oil and gas companies in Indonesia. The multinational oil and gas company or the IOGC (International Oil Company) and the national oil company (NOGC) in running their business activities are supported by business intelligence, which its main activity is collecting the important information about the situation surrounding operations area in order to anticipate the uncertainties and complexity of the issues related to ideology, political, social, economic and local culture. "Notaris merupakan pihak yang diberikan kuasa oleh para penghadap untuk mengajukan perubahan anggaran dasar dalam sistem administrasi badan hukum. Salah satu persyaratan utama untuk mengajukan perubahan anggaran dasar perkumpulan berbadan hukum adalah pernyataan perkumpulan sedang tidak dalam sengketa kepengurusan atau sengketa di pengadilan. Akan tetapi, dalam kasus pada Putusan Pengadilan Tata Usaha Negara Jakarta Nomor 216/G/2020/PTUN-JKT notaris mengajukan perubahan anggaran dasar perkumpulan AMPHURI ketika perkumpulan sedang dalam sengketa kepengurusan. Hal ini terjadi karena tidak adanya peraturan mengenai pihak yang berkewajiban, dan berperan untuk memverifikasi kebenaran data-data dalam proses perubahan anggaran dasar perkumpulan. Permasalahan yang dianalisis dalam penelitian ini adalah mengenai peran notaris dalam proses perubahan anggaran dasar perkumpulan, dan bentuk penerapan prinsip kehati-hatian notaris ketika terjadi sengketa kepengurusan dalam proses perubahan anggaran dasar perkumpulan yang mengakibatkan pembatalan perubahan tersebut. Penelitian ini menggunakan metode yuridis normatif dengan tipologi eksplanatoris, dan menggunakan pendekatan perundang-undangan, serta kasus. Hasil temuan dari penelitian ini menunjukkan bahwa notaris berperan penting dalam proses perubahan anggaran dasar perkumpulan dimulai dari membuatkan akta perubahan, hingga mencetak surat Keputusan Menteri Hukum dan Hak Asasi Manusia, dengan berpedoman pada ketentuan yang berlaku. Kemudian, bentuk penerapan prinsip kehati-hatian yang dapat dilakukan oleh notaris adalah menjalankan jabatan secara jujur, amanah, saksama, memberikan penyuluhan hukum ketika terdapat ketentuan yang tidak jelas, dan notaris dapat menolak apabila pelayanan yang diberikan berpotensi melanggar ketentuan hukum.

A notary is a party in which authorized by the parties to submit amendment to the articles of association in the administrative system of legal entities. One of the main requirements for submitting amendments to the articles of association of a legal entitiy is a statement that the entity is not in a management dispute or court dispute. However, in the case of Jakarta State Administrative Court Decision Number 216/G/2020/PTUN-JKT, the notary submitted an amendment to the entity of AMPHURI ‘s articles of association in which the association was in a management dispute. Such issues arise since there are no regulations regarding the parties in which are obligated, and acted in verifying the truth of the data in the process of amending the entity’s articles of association. The issues that are analyzed in this study are regarding the role of the notary in the process of amending the entity’s articles of association, and the form of applying the notary’s precautionary principle whereby there is a management dispute in the process of amending the entity’s articles of association which resulted to the cancellation of such amendments. The method used is this research are normative juridical, with a typological form in the form of explanatory, and applying a statutory approach, as well as cases. The results of this study indicate that the notary holds an important role in the process of amending the entity’s articles of association in which begin from drafting the deed of amendment, until printing the Minister of Law and Human Rights Decree, in accordance with the applicable provisions. Further, the application of a precautionary principle form that can be carried out by a notary is to carry out such occupation with honesty, trustworthiness, thorough, provide legal advisory in the event that there are unclear provisions, and a notary have the rights to reject in any event the services provided have the potential to violate a legal provisions."
