"Tulisan ini mengomparasikan dua skema Kontrak Bagi Hasil Minyak dan Gas Bumi yang berlaku di Indonesia, yakni Kontrak Bagi Hasil dengan skema Cost Recovery dan Kontrak Bagi Hasil dengan skema Gross Split. Tulisan ini juga menganalisis bagaimana penerapan asas keseimbangan serta aspek-aspek dalam hukum perjanjian terpenuhi di dalam Kontrak Bagi Hasil dengan Skema Gross Split. Tulisan ini disusun dengan menggunakan bentuk penelitian yuridis normatif. Kontrak Bagi Hasil Gross Split adalah suatu Kontrak Bagi Hasil dalam Kegiatan Usaha Hulu Minyak dan Gas Bumi berdasarkan prinsip pembagian gross produksi tanpa mekanisme pengembalian biaya operasi. Skema ini hadir sebagai upaya Pemerintah untuk terus mengoptimalkan pengurusan kekayaan alam minyak dan gas bumi di Indonesia dengan tujuan untuk meningkatkan efisiensi sehingga menarik minat para investor untuk berinvestasi dalam kegiatan usaha hulu migas. Dalam Kontrak Bagi Hasil dengan skema Gross Split, tidak ada lagi komponen pengembalian biaya operasi yang dibayarkan pemerintah kepada kontraktor. Padahal, hal tersebut kerap dianggap sebagai pemenuhan asas keseimbangan dalam Kontrak Bagi Hasil dengan skema Cost Recovery. Dalam skema Gross Split, Pemerintah berupaya melakukan pemenuhan asas keseimbangan melalui pemotongan birokrasi, persentase split yang lebih menguntungkan bagi kontraktor jika dibandingkan dengan skema Cost Recovery, ketentuan mengenai komponen variabel dan progresif, tambahan split dalam hal komersialisasi lapangan tidak mencapai nilai keekonomian tertentu, serta pemberian insentif pajak untuk menarik minat investor.

This writing compares two schemes of Production Sharing Contracts for Oil and Gas in Indonesia, namely the Contract with Cost Recovery scheme and the Contract with Gross Split scheme. It also analyzes how the principle of balance and aspects of contract law are fulfilled within the Contract with Gross Split scheme. This writing is structured using a normative juridical research approach. The Gross Split Production Sharing Contract is an agreement in Upstream Oil and Gas Business activities based on the principle of sharing gross production without an operational cost recovery mechanism. This scheme is a governmental effort aimed at continuously optimizing the management of the natural resources of oil and gas in Indonesia, with the goal of enhancing efficiency to attract investor interest in investing in upstream oil and gas activities. In the Contract with Gross Split scheme, there is no longer a component of operational cost recovery paid by the government to the contractors. However, this component is often considered a fulfillment of the balance principle in the Contract with Cost Recovery scheme. In the Gross Split scheme, the government seeks to achieve balance through bureaucracy cutting, a more favorable percentage split for the contractors compared to the Cost Recovery scheme, provisions regarding variable and progressive components, additional splits in the event of field commercialization not reaching a certain economic value, and providing tax incentives to attract investor interest."

"The CISG is the United Nations Convention on Contracts for the International Sale of Goods; a treaty ratified by about 70 countries that provides a uniform international sales law. The occasion of the CISG's 25th anniversary signals something extremely significant in the world of international commercial law: the true coming of age of the CISG, as evidenced by (and as a result of) several thousand available court and arbitration decisions world-wide applying the CISG. To celebrate this occasion, a conference was organized by the University of Pittsburgh's Center for International Legal Education and the United Nations Commission on International Trade Law (UNCITRAL). Drafting Contracts Under the CISG is a collaborative and important result of that conference. This publication brings together the intellectually sophisticated yet extremely practical and original contributions written by leading CISG scholars from around the globe and practitioners experienced in dealing with the CISG. Included are 140 sample clauses, a complete model sales agreement, and contextual analysis of contract drafting issues. The CISG is a new reality and is very relevant to US attorneys at the planning and negotiation stages of a sales transaction. It is increasingly the case that a lawyer in the US, or virtually anywhere else, cannot adequately serve a client's needs without knowledge of and skill in using the Convention to help, for example, prevent transactions from aborting over choice of law conflicts, and to offer alternatives that can resolve bargaining impasses.
