ABSTRAKTulisan ini membahas mengenai Pertanggungjawaban Perusahaan Induk kepada Bank selaku pemberi pinjaman kepada anak perusahannya dalam memenuhi kewajibannya sesuai aturan hukum pertanggungjawaban perdata yang berlaku. Pertanggungjawaban perusahaan induk ini timbul akibat adanya penerbitan Letter of Undertaking yang dilakukan oleh perusahaan induk guna menjamin pinjaman tersebut. Dalam hal perolehan kredit yang diterima oleh perusahaan-perusahaan yang membutuhkan modal baik untuk tujuan pembiayaan modal kerja ataupun untuk anak perusahaan seringkali dalam prakteknya Bank meminta jaminan tambahan dari Perusahaan Induk dimana jaminan ini bersifat accessoir dan didasari pada asas-asas dalam hukum perjanjian, baik dalam bentuk Corporate Guarantee untuk selanjutnya disebut sebagai ldquo;CG rdquo; ataupun Letter of Undertaking untuk selanjutnya disebut sebagai ldquo;LoU rdquo; ataupun jaminan lainnya. Pemberian LoU oleh perusahaan induk kepada anak perusahaannya sampai saat ini dinilai efektif oleh para kreditur, hal ini disebabkan karena ketika sebuah perusahaan induk memberikan jaminan personal LoU kepada kreditur maka secara sah dan secara moral perusahaan induk tersebut memiliki kewajiban untuk melaksanakan apa yang telah diperjanjikan dalam LoU tersebut. Yang mana hal ini berkaitan dengan Liability perusahaan induk yang tertuang dalam LoU tersebut dan Responsibility perusahaan induk untuk menjamin pelunasan hutang anak perusahaannya.

ABSTRACTThis writing discusses the Responsibility of the Parent Company to the Bank as a lender to its subsidiary in fulfilling its obligations under the applicable civil liability law. This parent company 39 s liability arises from the issuance of a Letter of Undertaking by the parent company to secure the loan. In the case of the acquisition of credits received by companies that require capital either for the purpose of working capital financing or for subsidiaries often in practice the Bank requests additional assurance from the Parent Company where this guarantee is an accessoir and is based on the principles of the treaty law, both in form of Corporate Guarantee hereinafter referred as CG or Letter of Undertaking hereinafter referred as LoU or other guarantees. Loan granting by the parent company to its subsidiaries is currently considered effective by the creditors, this is because when a parent company provides personal LoU guarantee to the creditor then legally and morally the parent company has an obligation to implement what has been agreed in LoU. Which is related to the Liability of the parent company contained in the LoU and the Responsibility of the parent company to ensure the repayment of its subsidiary debt.
